Common use of Changes in IFRS Clause in Contracts

Changes in IFRS. If at any time any change in IFRS would affect the computation of any financial ratio or requirement set forth in any Loan Document, and either the Company or the Required Lenders (or, in the case of a change affecting the computation of only the Consolidated Interest Coverage Ratio, the Consolidated Total Leverage Ratio, or both, the Required Pro Rata Facilities Lenders) shall so request, the Administrative Agent, the Lenders and the Company shall negotiate in good faith to amend such ratio or requirement to preserve the original intent thereof in light of such change in IFRS (subject to the approval of the Required Lenders (or, in the case of a change affecting the computation of only the Consolidated Interest Coverage Ratio, the Consolidated Total Leverage Ratio, or both, the Required Pro Rata Facilities Lenders)); provided that, until so amended, (i) such ratio or requirement shall continue to be computed in accordance with IFRS prior to such change therein and (ii) the Company shall provide to the Administrative Agent and the Lenders financial statements and other documents required under this Agreement or as reasonably requested hereunder setting forth a reconciliation between calculations of such ratio or requirement made before and after giving effect to such change in IFRS. Without limiting the foregoing, leases shall continue to be classified and accounted for on a basis consistent with that reflected in the Audited Financial Statements (subject to the exceptions noted in clause (a) above) for all purposes of this Agreement, notwithstanding any change in IFRS relating thereto, unless the parties hereto shall enter into a mutually acceptable amendment addressing such changes, as provided for above.

Without limiting the foregoingNotwithstanding any other provision contained herein, leases shall continue any obligations relating to be classified and a lease that was accounted for on by such Person as an operating lease as of the Closing Date and any similar lease entered into after the Closing Date by such Person shall be accounted for as obligations relating to an operating lease and not as obligations relating to a basis consistent Capital Lease; provided, however, that the Borrower Representative may elect, with that reflected notice to Administrative Agent to treat operating leases as Capital Leases in the Audited Financial Statements (subject accordance with IFRS as in effect from time to the exceptions noted in clause (a) above) for all purposes of this Agreementtime and, notwithstanding upon such election, and, upon any subsequent change in to IFRS relating theretotherefor, unless the parties hereto shall will enter into a mutually acceptable amendment addressing negotiations in good faith in an effort to preserve the original intent of the financial covenants set forth herein (it being understood and agreed that the treatment of operating leases be interpreted on the basis of IFRS as in effect on the Closing Date until such changes, as provided for above.election shall have been withdrawn or such provision amended in accordance herewith). 37
