Changes to GXPs Clause Samples
The "Changes to GXPs" clause defines how modifications to Good Practice (GXP) standards—such as Good Manufacturing Practice (GMP), Good Clinical Practice (GCP), or Good Laboratory Practice (GLP)—are managed within the context of an agreement. It typically outlines the process for notifying parties of updates to applicable regulations, and may require parties to implement necessary changes to their procedures or documentation to remain compliant. This clause ensures that both parties remain aligned with evolving regulatory requirements, thereby reducing the risk of non-compliance and associated penalties.
Changes to GXPs. The following procedure will apply if the Distributor proposes to construct and operate, or agree with a Grid Owner to have constructed and operated, a new GXP, or permanently disconnect the Network from a GXP (a "Proposal");
(a) the Distributor must give the Trader notice of the following:
(i) the ICPs, groups of ICPs ,or geographical area(s) that will be affected by the Proposal; and
(ii) an estimate of the overall costs of the Proposal and a description of any benefits of the Proposal;
(b) the Distributor must consult with the Trader about the Proposal for a reasonable period of time; and
(c) if, at the conclusion of the consultation, the Distributor decides to proceed with the Proposal (including the Proposal as changed as a result of the consultation), the Distributor must give the Trader at least 20 Working Days' notice of the date on which the commissioning of a new GXP, or permanent disconnection of the Network from a GXP, is expected to be complete.
