Charges for Registration, Transfer and Exchange. Charges for Registration, Transfer and Exchange. For each Debenture exchanged, registered, transferred or discharged from registration, the Trustee or other registrar, except as otherwise herein provided, may make a reasonable charge for its services and in addition may charge a reasonable sum for each new Debenture issued (such amounts to be agreed upon from time to time by the Trustee and the Corporation), and payment of such charges and reimbursement of the Trustee or other registrar for any stamp taxes or governmental or other charges required to be paid shall be made by the party requesting such exchange, registration, transfer or discharge from registration as a condition precedent thereto. Notwithstanding the foregoing provisions, no charge shall be made to a Debentureholder hereunder:
(a) for any exchange, registration, transfer or discharge from registration of any Debenture applied for within a period of two months from the date of the first delivery of Debentures of that series or, with respect to Debentures subject to a Periodic Offering, within a period of two months from the date of delivery of any such Debenture;
(b) for any exchange of any interim or temporary Debenture or interim certificate that has been issued under Section 2.9 for a definitive Debenture;
(c) for any exchange of a Global an Uncertificated Debenture as contemplated in Section 3.2; or3.1;
(d) for any exchange of any Debenture resulting from a partial redemption under Section 4.2;
(e) for any exchange of any Debenture resulting from a partial conversion under Section 6.4(i); or
(f) for any exchange of any Debenture resulting from a partial purchase under Section 2.4(j).
