Common use of Charges for Registration, Transfer and Exchange Clause in Contracts

Charges for Registration, Transfer and Exchange. For each Note exchanged, registered, transferred or discharged from registration, the Trustee or other Registrar may make a reasonable charge for its services and in addition may charge a reasonable sum for each new Note issued (such amounts to be agreed upon from time to time by the Trustee and the Issuer), and payment of such charges and reimbursement of the Trustee or other Registrar for any stamp Taxes or governmental or other charges required to be paid shall be made by the party requesting such exchange, registration, transfer or discharge from registration as a condition precedent thereto. Notwithstanding the foregoing provisions, no charge shall be made to a Holder hereunder: (a) for any exchange, registration, transfer or discharge from registration of any Note applied for within a period of two months from the date of the first delivery thereof; (b) for any exchange of any interim or temporary Note or interim certificate that has been issued for a Definitive Note; (c) for any exchange of a Global Note as contemplated in Section 2.10; or (d) for any exchange of any Note resulting from a partial redemption of Notes permitted hereunder.
