Charter, Bylaws, Minutes, Operating Agreement and Permits. Sellers have heretofore delivered or caused to be delivered (or will hereinafter deliver or cause to be delivered prior to the Closing Date) to Buyer or its counsel accurate and complete copies of the CCS Operating Agreement, written consents and membership books. Nothing contained in any of the foregoing prevents or adversely affects the consummation of the transactions contemplated by this Agreement. A true and correct copy of the CCS Operating Agreement, as amended, of CCS is attached hereto and made a part hereof as Exhibit 7.1, which agreement is in full force and effect and have not been amended or modified in any way.

All corporate books, including without limitation the share transfer register, comply with applicable laws and regulations and have been regularly updated. Such books fully and correctly reflect all the decisions of the stockholders.
