Charter Contracts. In connection with any time charters having an indicated duration of at least 24 months (including any optional extensions or renewals), the applicable Credit Party shall, at its own cost and expense, promptly and duly execute and deliver to the Collateral Agent a notice of the assignment in respect of such charter contract contained in the Global Assignment Agreement (if permitted thereunder), and will use its commercially reasonable efforts to cause the charterer under such charter to execute and deliver to the Collateral Agent a consent to such assignment in form and substance reasonably satisfactory to the Facility Agent.

Charter Contracts. 7.1 You agree to be bound by the Charter Contract. You agree that the only contractual (or other) arrangements between you and any Charterer in respect of a Charter shall be in the form of the Charter Contract. You are not permitted to make any private or other arrangements outside of the Site of any nature whatsoever relating to a Yacht listed on the Site with any prospective charterers who have been introduced to you by Xxxx (“Private Arrangement”). 7.2 Without prejudice to any other claim Ahoy may have against you of whatsoever nature, a breach of clause 7.1 will render you liable to Ahoy for any sums received in respect of a Private Agreement without deduction and Ahoy shall be entitled to refuse you access to its Site and the Services. We may seek an injunction against you to prevent further breaches. This obligation continues beyond the termination or conclusion of any Charter and the Terms.
Charter Contracts. (a) Within three months after 11 June 2010 evidence of that all end-users under the Charter Contracts have been instructed to make any and all payments of the Earnings to the Earnings Accounts (b) Within five months after 11 June 2010 evidence that such payments mentioned in (a) above have been initiated by the end-users.
Charter Contracts. Each Obligor shall use reasonable endeavours to ensure that the terms of any new Charter Contract entered into after the date of this Agreement does not prohibit assignment of such Charter Contract to the Lender. Promptly following the entering into of a Charter Contract each Obligor shall provide the Lender with a copy of the relevant executed Charter Contract. In case the Charter Contract prohibits the assignment of the Charter Contract to the Lender, such Obligor shall promptly inform the Lender in writing of (i) the efforts it has made to allow for the assignment of the Charter Contract, and (ii) the reasons, to the best of such Obligor’s knowledge, for not having succeeded in achieving this. Each Obligor shall at all times and with respect to all Charter Contracts (irrespective of term) be obliged to assign the earnings under the Charter Contracts to the Lender and hence ensure that such assignment of the earnings is not prohibited.
Charter Contracts. (a) Each Assignor hereby agrees that at any time and from time to time, upon entering into any Pledged Charter, it will, at the cost and expense of the Borrower, promptly and duly execute and deliver to the charterer under such Pledged Charter, notice of this Agreement in respect of such Pledged Charter substantially in the form attached as Exhibit C. The Assignors covenant to use commercially reasonable efforts to obtain the consent of the charterer under said Pledged Charter to the assignment of the Pledged Charter in the form attached as Annex I to Exhibit C or in such other form as the Assignee may agree. (b) On the date hereof, the Assignor shall have furnished to the Assignee copies of all notices and other instruments, certificates, reports and communications required or permitted to be given or made by the charterer under any Pledged Charter to the Assignor pursuant to the Pledged Charter and, the Assignee may at any time after a Default or Event of Default, instruct the charterer to deliver such notices and other instruments, certificates, reports and communications directly to the Assignee.
Charter Contracts. Each Assignor hereby agrees that at any time and from time to time, upon entering into any Pledged Charter (other than with respect to a Vessel subject to an Acceptable Pooling Agreement), for a period of twenty-four (24) months or longer (including any optional extensions and renewals thereof), it will, at the cost and expense of the Borrower, promptly and duly execute and deliver to and in favor of the Assignee a charter assignment in respect of such Pledged Charter substantially in the form attached as Exhibit C (each, a “Charter Assignment”) and it will promptly execute and deliver any and all such further instruments and documents as the Assignee, and its successors or assigns, may reasonably require in order to obtain the full benefits of this Assignment, the Charter Assignment with respect to such Pledged Charter and of the rights and powers herein and therein granted. The Assignors covenant to use commercially reasonable efforts to obtain the consent of the charterer under said Pledged Charter to the Charter Assignment pursuant to the terms of the Charter Assignment or in other form and substance reasonably satisfactory to the Assignee.
Charter Contracts. In connection with any Permitted Third Party Charters having an indicated duration of at least 24 months (including any optional extensions or renewals) and any Intra-Group Charter (other than, in each case, in connection with Permitted Scorpio Pooling Arrangements), the applicable Credit Party shall, at its own cost and expense, promptly and duly execute and deliver to the Collateral Agent an Assignment of Charters (as defined in the General Assignment Agreement) in respect of such charter contract (if permitted thereunder), and (i) will use its commercially reasonable efforts to cause the charterer under such Permitted Third Party Charter and (ii) will cause the charterer under such Intra-Group Charter to execute and deliver to the Collateral Agent a consent to the Assignment of Charters (as defined in the General Assignment Agreement) in form and substance reasonably satisfactory to the Administrative Agent.

Charter Contracts. In connection with any Permitted Charter having an indicated duration exceeding thirty-six (36) months (including any optional extensions or renewals), the applicable Credit Party shall, at its own cost and expense, promptly and duly execute and deliver to the Collateral Agent an assignment of such charter contract, and the charterer under such contract a notice of assignment of charters in respect of such charter contract (if permitted thereunder) substantially in the form set forth in the General Assignment Agreement, and will use its commercially reasonable efforts to cause the charterer under such charter contract to execute and deliver to the Collateral Agent a consent to such assignment in form and substance reasonably satisfactory to the Administrative Agent.
Charter Contracts. The Borrower shall not (and shall procure that no other member of the Group shall) commit a breach of any Charter or conduct itself in such a way as to cause or potentially cause, whether through action or inaction, a breach of a Charter which would entitle the other party to the Charter Contract to terminate or otherwise determine the Charter.
