CHARTER DOCUMENTS AND BY-LAWS. Merger Sub has heretofore furnished to the Company a complete and correct copy of the Articles of Incorporation and By-laws, each as amended to date, of Merger Sub. Such charter documents are in full force and effect. Merger Sub is not in violation of any provision of its charter documents.
CHARTER DOCUMENTS AND BY-LAWS. The Purchaser shall have received a certificate, dated the Closing Date, of the Secretary of the Company attaching (i) a true and complete copy of the Company's Articles of Incorporation with all amendments thereto, as filed with the Secretary of State of the State of Texas, (ii) a true and complete copy of the Company's By-Laws in effect as of such date, (iii) certificates of good standing of the appropriate officials of the jurisdiction of incorporation of the Company, and (iv) resolutions of the Board of Directors of the Company authorizing the execution and delivery of this Agreement and the issuance of the Shares and the Warrant Shares.
CHARTER DOCUMENTS AND BY-LAWS. The Company has heretofore made available to the Purchasers true and complete copies of the Articles of Incorporation and By-Laws of the Company and of each the Front Royal Subsidiaries, as in effect on the date hereof.

The copies of GLAS's, Americas' and Holding's (i) Certificate of Incorporation, as amended to date, and (ii) By-laws, as amended to date, that have been previously provided to the Purchaser are complete and correct in all respects, are in full force and effect, and none of GLAS, Americas or Holding is in violation of any of the provisions of its Certificate of Incorporation or By-laws.
CHARTER DOCUMENTS AND BY-LAWS. The Company has heretofore delivered to CVCA a true and complete copy of (a) the Amended and Restated Certificate of Incorporation (a copy of which is attached as Exhibit C) and (ii) the By-laws of the Company, in each case as in effect on the date of this Agreement.

The charter documents and by-laws ----------------------------- of the Company shall not be inconsistent with the voting provisions set forth in this Section 3, and the Board of Directors of the Company shall not take any action to modify or amend the charter documents or by-laws of the Company in a manner inconsistent with the voting provisions set forth in this Section 3 without such approval of the Purchasers as would be required for a Modification of this Section 3.

Annexed hereto as Exhibit D is a true and complete copy of the charter documents and By-Laws of Company as in effect on the date hereof, certified by the Secretary of Company in the case of the By-Laws and by an Authorized Official in the case of the charter documents.
