CHARTER DOCUMENTS AND LLC RECORDS. (a) The Sellers have heretofore delivered to Purchaser true and complete copies of the Articles of Organization and Operating Agreement (or comparable instruments) of the Company, as in effect on the date hereof. The stock and transfer books (or comparable documents) of the Company have been made available to Purchaser for its inspection and are true and complete. The Sellers have heretofore delivered to Purchaser true and complete copies of the minutes of meetings (or written consents in lieu of meetings) of the members of the Company. All actions taken by the members of the Company are reflected in such minutes, written consents and other documentation.

  • Charter, Bylaws and Corporate Records The minute books of the Seller and its Subsidiaries contain complete and accurate records of all meetings and other corporate actions of the board of directors, committees of the board of directors, incorporators and stockholders of the Seller and its Subsidiaries from September 15, 1995 to the date hereof. All material corporate decisions and actions have been validly made or taken. All corporate books, including without limitation the share transfer register, comply with applicable laws and regulations and have been regularly updated. Such books fully and correctly reflect all the decisions of the stockholders.

  • Amendments to Charter Documents The Company covenants and agrees, that prior to its initial Business Combination it will not seek to amend or modify its Charter Documents, except as set forth therein.
