Chief Scientist. Neither the Company nor any of its Subsidiaries is in violation of any material condition or requirement stipulated by any instruments of approval, granted to it by the Chief Scientist, or the Law for Encouragement of Industrial Research and Development, 5744-1984, with respect to any research and development grants or benefits given to the Company or any Subsidiary by the Chief Scientist. All information supplied by the Company or any Subsidiary with respect to grants and benefits from the Chief Scientist was true, correct and complete in all material respects when supplied to the appropriate authorities.
Chief Scientist. Except as set forth in Part 2.24 of the Disclosure Schedule, Conduct has complied in all material respects with the terms and conditions as specified in the letter of approval dated March 19, 1997, from the Chief Scientist of the Israeli Ministry of Industry and Trade and the terms of the Encouragement of Industrial Research and Development Law - 1984.
Chief Scientist. Schedule 23 includes a complete list of all grants, incentives and subsidies ("Grants") from the Government of the State of Israel or any agency thereof to the Company, including, without limitation, grants from the Office of the Chief Scientist (hereinafter: the "OCS") Copies of all letters of approval, and supplements thereto, granted to the Company by the OCS (and copies of all applications with respect to extension of plans which are not reflected in the Company Financial Statements) are attached hereto as Schedule 23. The Company has not received any Grant in relation to the building that they lease within the Encouragement of Capital Investments Law, 1959. The Company has not approached the Investment Center of the Ministry of Industry and Trade for any purpose. The Company is in compliance with the material terms and conditions of the Grants and has fulfilled all the undertakings relating thereto. The Company has received funds from the OCS and it is required to repay royalties to the OCS from its sales until full repayment of the funds. The Company shall have received approval from and provided all notices to the OCS required to consummated the Agreement and the transactions contemplated herein.
Chief Scientist. The Buyer shall have signed an investor undertaking as required by the OCS (the “OCS Undertaking”).
Chief Scientist. Until the earlier of the exercise of the Option or the termination or expiration of the Option Period, the Company does not intend to, and undertakes not to, without the prior written consent of the Purchaser, request or obtain further funding for research and development from the Chief Scientist.
Chief Scientist. A letter of notice to the Office of the Chief Scientist of the Israeli Ministry of Industry, Trade and Labor ("OCS"), with respect to the investment contemplated herein, in form satisfactory to the Lead Investor, which shall be attached as Schedule 2.2(a)(ix) hereto.

Chief Scientist. Xx. Xxxx Xxxxx (NDSU) Xx. Xxxx Xxxxx has more than ten years of research background in structural health monitoring and pipeline risk analysis and corrosion assessment. She has coauthored over 70 high quality peer reviewed publications that include one book chapter, 30 journals articles, and 40 conference papers, which have been cited 345 times with an i10-index of 9. She holds a PhD in Civil Engineering from Missouri University of Science and Technology, and is currently an Assistant Professor in the Department of Civil and Environmental Engineering at North Dakota State University.
Chief Scientist. Xx. Xxxxxxx Xxx (MTU) Xx. Xxxxxxx Xxx, one of the original developers of the unstructured grid Finite Volume Community Ocean Model (FVCOM) with his major professor, Xx. Xxxxxxxxxx Xxxx, School for Marine Science and Technology, University of Massachusetts-Dartmouth, joined the Tech faculty in 2013. Since his arrival, he has worked closely with NOAA-GLERL in jointly developing FVCOM based hydrodynamic and climate models for the Great Lakes, including the combined Lakes Michigan-Huron coupled model to assess flow through the Straits of Mackinac. He has made Michigan Tech’s supercomputing cluster available for joint model development and testing. Xx. Xxx’x areas of expertise include hydrodynamic modeling, coupled physical- biological modeling, dynamics of coupled ocean-atmosphere models, ocean data assimilation, and bio-physical processes in the Great Lakes.
