CHOICE OF LAW, CONSENT TO JURISDICTION AND VENUE. a. This Contract shall be deemed to be executed in the District of Columbia, regardless of the domicile of the Contractor and shall be governed by and construed in accordance with Federal government contracting law as adopted by WMATA in its Best Practice Manual. As to all other matters of substantive law, the laws of the District of Columbia shall apply except for its choice of law provisions unless superseded by Federal law. b. The parties agree that any and all claims asserted by or against WMATA arising hereunder or related hereto shall be heard and determined either in the courts of the United States located in the District of Columbia, the State of Maryland or the Commonwealth of Virginia or in the courts of the District of Columbia, State of Maryland or Commonwealth of Virginia that maintain jurisdiction over such claims and where venue properly resides.
