Common use of Choice of Law; Submission to Jurisdiction and Waiver of Sovereign Immunity Clause in Contracts

Choice of Law; Submission to Jurisdiction and Waiver of Sovereign Immunity. In any action or proceeding involving such Guarantor arising out of or relating to this Agreement in any Mexican court or tribunal, the Lenders, the Joint Bookrunners and the Administrative Agent would be entitled to the recognition and effectiveness of the choice of law, submission to jurisdiction and waiver of sovereign immunity provisions of Sections 13.10, 13.11 and 13.13.

Choice of Law; Submission to Jurisdiction and Waiver of Sovereign Immunity. In any action or proceeding involving such Guarantor the Borrower arising out of or relating to this Agreement in any Mexican court or tribunal, the Lendersany Participating Lender, the Joint Bookrunners and the Administrative Agent would be entitled to the recognition and effectiveness of the choice of law, submission to jurisdiction and waiver of sovereign immunity provisions of Sections 13.1015.10, 13.11 15.11 and 13.1315.13.

In any action or proceeding involving such Guarantor the Issuer arising out of or relating to this Agreement in any Mexican court or tribunal, the Lendersa Lender, the Joint Bookrunners Issuing Bank, the Arrangers and the Administrative Agent would be entitled to the recognition and effectiveness of the choice of law, submission to jurisdiction and waiver of sovereign immunity provisions of Sections 13.1016.10, 13.11 16.11 and 13.1316.13.

In any action or proceeding involving such Guarantor arising out of or relating to this Agreement in any Mexican court or tribunal, the Lenders, the Structuring Agent, the Joint Bookrunners Lead Arrangers and the Administrative Agent would be entitled to the recognition and effectiveness of the choice of law, appointment of process agent, submission to jurisdiction and waiver of sovereign immunity provisions of Sections 13.1012.10, 13.11 12.11, 12.12 and 13.1312.13.
