City’s Conditions to Closing North-of-Westlake Parcels. In addition to the requirements to close escrow on the Developer Parking Area, City’s obligations to convey the North-of-Westlake Parcels to Developer is conditioned upon the satisfaction of the terms and conditions set forth in Section 3.9.1 as well as this Section 3.9.2, unless any such condition is waived in writing by the City acting in the discretion of its Authorized Representative.
