Common use of CITY’S RIGHT TO TERMINATE Clause in Contracts

CITY’S RIGHT TO TERMINATE. The City, including the Manager, Director or his/her designee, has the right to terminate this Agreement for convenience, for any reason or no reason, upon ten (10) days’ written notice. Upon termination of this Agreement, all charts, sketches, studies, drawings, and other documents, including all electronic copies related to Services authorized under this Agreement, whether finished or not, must be turned over to the Director or designee. The Consultant shall be paid in accordance with provisions of Attachment B, provided that said documentation is turned over to Director or designee within ten (10) business days of termination. Failure to timely deliver the documentation shall be cause to withhold any payments due without recourse by Consultant until all documentation is delivered to the Director or designee. Consultant shall have no recourse or remedy from a termination made by the City except to retain the fees earned as compensation for the Services that was performed in complete compliance with this Agreement, as full and final settlement of any claim, action, demand, cost, charge or entitlement it may have, or will, have against the City, its officials or employees.

The Consultant shall have no recourse or remedy from a any termination made by the City except to retain the fees fees, and allowable costs or reimbursable expenses, earned as compensation for the Services that was were performed in complete compliance with this the Agreement, as full and final settlement of any claim, action, demand, cost, charge or entitlement it may have, or will, have against the City, its officials or employees.
