Common use of Civil Litigation Clause in Contracts

Civil Litigation. Professional warrants that it is not plaintiff or defendant in any civil litigation currently pending in the United States and concerning the type of work/services to be performed under this Agreement that would materially impair its ability to perform its obligations under this Agreement. If Professional becomes either a plaintiff or defendant in such civil litigation during the term of this Agreement, Professional will inform Owner as soon as practicable. If Professional fails to inform Owner of such civil litigation, Owner may terminate this Agreement and Professional will be responsible for all costs and damages incurred by Owner as a result of said termination.
