Claims by Banks. A Bank intending to make a claim pursuant to Clause 8.2 (Tax Indemnity) shall notify the Agent of the event giving rise to the claim, whereupon the Agent shall notify the Guarantor thereof.
Claims by Banks. Any person intending to make a demand pursuant to Clause 18.2 (Tax Indemnity) shall notify the Principal Company (through the Facility Agent in the case of a Bank) in reasonable detail of the event by reason of which it is entitled to do so Provided that nothing herein shall require such person to disclose any confidential information relating to the organisation of its affairs.
Claims by Banks. If a Bank or the Trustee intends to make a claim pursuant to Clause 8.2 (Tax Indemnity) it shall notify the Agent of the event by reason of which it is entitled to do so and provide the Agent with a reasonable written explanation of the basis and calculation of such claim, whereupon the Agent shall notify the Borrower thereof and provide the Borrower with a copy of the explanation and calculation which it has received from such Bank or the Trustee Provided that nothing herein shall require any Bank or the Trustee to disclose any confidential information relating to the organisation of its affairs.
Claims by Banks. A Bank intending to make a claim pursuant to Clause 11.4 (Tax indemnity) shall notify the Agent of the event by reason of which it is entitled to do so and shall provide the Agent with calculations in reasonable detail of amounts claimed by it, whereupon the Agent shall notify the Borrower thereof provided that nothing herein shall require such Bank to disclose any confidential information relating to the organisation of its affairs.
Claims by Banks. A Bank intending to make a claim pursuant to Clause 14.2 (TAX INDEMNITY) shall promptly notify the Facility Agent of the event giving rise to the claim, whereupon the Facility Agent shall notify the Parent thereof.
Claims by Banks. A Bank intending to make a claim pursuant to Clause 10.2 (Tax Indemnity) shall notify the Facility Agent of the event giving rise to the claim, whereupon the Facility Agent shall notify the Borrower thereof and if the Facility Agent and/or the Borrower, within five Business Days of their receipt of such notification, notify such Bank requiring it to do so, such Bank shall provide a certificate of a responsible officer to such effect together with either (a) a legal opinion (which may be provided by its internal counsel) or (b) an opinion of external auditors, supporting such claim (and the reasonable costs of obtaining an opinion from any external counsel or auditors shall be paid by the Borrower on demand), whereupon the Facility Agent shall promptly provide the Borrower with a copy of such certificate and opinion, if required, provided that nothing herein shall require such Bank to disclose any confidential information relating to the organisation of its affairs.
Claims by Banks. A Bank intending to make a claim pursuant to Clause 9.2 (Tax Indemnity) shall notify the Administrative Agent of the event by reason of which it is entitled to make such claim, whereupon the Administrative Agent shall notify the Parent thereof Provided that nothing herein shall require any Bank to disclose any confidential information relating to the organisation of its affairs.
Claims by Banks and the Agent A Bank intending to make a claim pursuant to Clause 14.2 (Tax Indemnity) shall notify the Agent of the event giving rise to the claim, whereupon the Agent shall notify the Parent and the Borrowers thereof. If the Agent intends to make a claim pursuant to Clause 14.2 (Tax Indemnity) it shall notify the Parent and the Borrowers of the event giving rise to the claim.
Claims by Banks. A Bank intending to make a claim pursuant to Clause 9.2 (Tax Indemnity) shall notify the Agent of the event by reason of which it is entitled to do so within 90 days of the date on which such Bank's Facility Office ought reasonably to have become aware of such Bank's entitlement to make such a claim, whereupon the Agent shall notify the Borrower thereof. In the event that such Bank or the Agent fails to so notify the Borrower within the period provided in the preceding sentence, the Borrower shall not be obliged to indemnify such Bank for all or part of any payment or liability under Clause 9.2 (Tax Indemnity) to the extent that such amount is imposed with respect to payments made prior to the date which is 90 days prior to the date on which such Bank or the Agent gives notice to the Borrower of the event by reason of which it is entitled to be so indemnified. Nothing herein contained shall require such Bank to disclose any confidential information relating to the organisation of its affairs.
Claims by Banks.
