Claims, Disputes and Litigation. There are no actions or proceedings pending by or against any Loan Party before any court or administrative agency and Borrower does not have knowledge or belief of any pending or threatened litigation, governmental investigations, or claims, complaints, actions, or prosecutions involving any Loan Party, except for: (a) ongoing collection matters in which such Loan Party is the claimant, petitioner or plaintiff; (b) matters disclosed on Schedule 5.7; and (c) matters that could not reasonably be expected to result in a Material Adverse Change.
