Executive, for himself Executive and on behalf of anyone claiming through Executive including each and all of Executive’s legal representatives, administrators, executors, heirs, successors and assigns (collectively, the “Executive Releasors”), does hereby fully, finally and forever release, absolve and discharge the Company Nordson and each and all of its legal predecessors, successors, assigns, fiduciaries, parents, subsidiaries, divisions and other affiliates, and each of the foregoing’s respective past, present and future principals, partners, shareholders, directors, officers, employees, agents, consultants, attorneys, trustees, administrators, executors and representatives (collectively, the “Company Nordson Released Parties”), of, from and for any and all claims, causes of action, lawsuits, controversies, liabilities, losses, damages, costs, expenses and demands of any nature whatsoever, at law or in equity, whether known or unknown, asserted or unasserted, foreseen or unforeseen, that the Executive Releasors (or any of them) now have, have ever had, or may have against the Company Nordson Released Parties (or any of them) based upon, arising out of, concerning, relating to or resulting from any act, omission, matter, fact, occurrence, transaction, claim, contention, statement or event occurring or existing at any time in the past up to and including the date on which Executive signs this Release, including, without limitation, : (a) all claims arising out of or in any way relating to Executive’s employment with or separation of employment from the Company Nordson or its affiliates; (b) all claims for compensation or benefits, including salary, commissions, bonuses, vacation pay, expense reimbursements, severance pay, fringe benefits, stock options, restricted stock units or any other ownership interests in the Company Nordson Released Parties; (c) all claims for breach of contract, wrongful termination and breach of the implied covenant of good faith and fair dealing; (d) all tort claims, including claims for fraud, defamation, invasion of privacy and emotional distress; (e) all other common law claims; and (f) all claims (including claims for discrimination, harassment, retaliation, attorneys fees, expenses or otherwise) that were or could have been asserted by Executive or on his Executive’s behalf in any federal, state, or local court, commission, or agency, or under any federal, state, local, employment, services or other law, regulation, ordinance, constitutional provision, executive order or other source of law, including without limitation under any of the following laws, as amended from time to time: the Age Discrimination in Employment Act (the “ADEA”), as amended by the Older Workers’ Benefit Protection Act of 1990 (the “OWBPA”), Title VII of the Civil Rights Act of 1964, 42 U.S.C. §§ 1981 & 1981a, the Americans with Disabilities Act, the Equal Pay Act, the Employee Retirement Income Security Act, the Xxxxx Xxxxxxxxx Fair Pay Act of 2009, the Family and Medical Leave Act, The Xxxxxxxx-Xxxxx Act of 2002, the National Labor Relations Act, the Rehabilitation Act of 1973, the WARN Worker Adjustment Retraining and Notification Act, the Uniformed Services Employment and Reemployment Rights Act, Federal Executive Order 11246, and the Genetic Information Nondiscrimination Act.

However, notwithstanding any other provision herein, Cxxxxxxx acknowledges that this waiver of claims only applies to claims she is legally permitted to release and, as such, does not preclude her from filing a charge of discrimination, though she will not be able to recover any damages if she does file such a charge or if she has filed such a charge. Notwithstanding any provision to the contrary, this subsection shall not apply to the following: (a) challenges to the ADEA release to the extent, if any, prohibited by applicable law; (b) claims to enforce Cxxxxxxx’x rights under this Release; (c) claims that cannot legally be released under applicable law; (d) to claims by Cxxxxxxx for benefits under benefit plans in which she maintains an interest as a former employee of NorthWestern; (e) all rights or claims of contribution and of indemnification Cxxxxxxx may have under the Indemnification Agreement between NorthWestern and Cxxxxxxx dated November 16, 2009; (f) all additional or other rights and claims of contribution and indemnification Cxxxxxxx may have whether under this Release, under NorthWestern’s Bylaws, by common law, by statute, or otherwise; and (g) all rights or claims Cxxxxxxx may have under any policies of directors and officers liability insurance. c. To the fullest extent permitted by law, Executive agrees that he will not now or at any time in the future pursue any charge, claim, or action of any kind, nature and character whatsoever against any of the Protected Parties, or cause or knowingly permit any such charge, claim or action to be pursued, in any federal, state or municipal court, administrative agency, arbitral forum, or other tribunal, arising out of any of the matters covered by this Section 1.1. Executive further agrees that he will not pursue, join, participate, encourage, or directly or indirectly assist in the pursuit of any legal claims against the Protected Parties, whether the claims are brought on his own behalf or on behalf of any other person or entity. ExecutiveIn exchange for the benefits payable, Xxxxx for himself and on behalf of anyone claiming through Executive including each and all of Executive’s legal representativeshimself, his heirs, executors, administrators, executors, heirs, successors and assigns (collectively, the “Executive Releasors”), does hereby fully, finally and forever release, absolve and discharge the Company and each and all of its legal predecessors, successors, assignsassigns and trustees irrevocably and unconditionally releases NWEC, fiduciariesits current, parentsformer and future, subsidiariesparent, divisions subsidiary and other affiliatesrelated companies, and each of the foregoing’s respective pastits directors, present and future principals, partners, shareholders, directorstrustees, officers, employees, agents, consultantsagent, attorneys, trusteessuccessors, administratorsand assigns, executors and representatives all persons acting by, through, under, or in concert with any of them (collectively, the “Company "Released Parties”"), of, from and for any and all claimsactions, causes of action, lawsuitssuits, debts, charges, complaints, claims, obligations, promises, contracts, agreements, controversies, liabilitiesdamages, judgments, rights, costs, losses, damagesexpenses, costs, expenses liabilities and demands of any nature whatsoever, at law or in equitynature, whether known or unknown, asserted whether actual or unassertedpotential, foreseen whether specifically mentioned herein or unforeseennot, that the Executive Releasors (in law or any of them) now haveequity, have ever hadwhether statutory or common law, or may have against the Company Released Parties (or any of them) based upon, arising out of, concerning, relating to or resulting from any act, omission, matter, fact, occurrence, transaction, claim, contention, statement or event occurring or existing at any time in the past up to and including the date on which Executive signs this Release, including, without limitation, (a) all claims arising out of or in any way relating to Executive’s employment with or separation of employment from the Company or its affiliates; (b) all claims for compensation or benefits, including salary, commissions, bonuses, vacation pay, expense reimbursements, severance pay, fringe benefits, stock options, restricted stock units or any other ownership interests in the Company Released Parties; (c) all claims for breach of contract, wrongful termination and breach of the implied covenant of good faith and fair dealing; (d) all tort claims, including claims for fraud, defamation, invasion of privacy and emotional distress; (e) all other common law claims; and (f) all claims (including claims for discrimination, harassment, retaliation, attorneys fees, expenses or otherwise) that were or could have been asserted by Executive or on his behalf in any federal, state, or local court, commission, or agency, or under any whether federal, state, local, employmentor otherwise, services or other lawas a result of any act that has heretofore occurred, regulationincluding, ordinance, constitutional provision, executive order or other source of law, including without limitation that Xxxxx may have arising out of or related to his employment with or separation from, NWEC ("Claims"). Xxxxx is releasing the following claims which include, without limitation, claims under any his original employment terms, which are canceled as of the following lawsSeverance Date with no further benefits or payments to be provided thereunder, the WARN Act, as amended from time to time: amended, any and all claims of wrongful discharge or breach of contract, any and all claims for equitable estoppel, except as provided in Section 1 above, any and all claims for employee benefits, including, but not limited to, any and all claims under the Age Discrimination in Employment Employee Retirement Income Security Act (the “ADEA”)of 1974, as amended by the Older Workers’ Benefit Protection Act amended, and any and all claims of 1990 (the “OWBPA”)employment discrimination on any basis, including, but not limited to, any and all claims under Title VII of the Civil Rights Act of 1964, as amended, under the Age Discrimination in Employment Act of 1967, as amended, under the Civil Rights Act of 1866, 42 U.S.C. §§ 1981 & 1981a1981, under the Civil Rights Act of 1991, as amended, under the Americans with Disabilities Act, the Equal Pay Act, the Employee Retirement Income Security Act, the Xxxxx Xxxxxxxxx Fair Pay Act of 20091990, as amended, under the Family and Medical Leave Act of 1993, under the Immigration Reform and Control Act of 1986, as amended, under the Fair Labor Standards Act, Xxxxxxxx-Xxxxx Act of 2002as amended, 29 U.S.C. §201 et seq., the National Labor Relations Older Workers Benefit Protection Act, the Rehabilitation Act of 1973as amended, the WARN Wrongful Discharge from Employment Act, Federal Executive Order 1124639-2901 et seq., MCA, any federal, state or local law enforcing express or implied employment contracts or requiring an employer to deal with employees fairly or in good faith including 27-1-221, MCA, any federal, state, or local laws prohibiting employment discrimination, such as in the State of South Dakota, any claim filed in NWEC's bankruptcy proceedings, and any and all claims under any other federal, state, or local labor law, civil rights law, fair employment practices law, or human rights law, any and all claims of slander, libel, defamation, invasion of privacy, intentional or negligent infliction of emotional distress, intentional or negligent misrepresentation, fraud, and prima facie tort, any and all claims for monetary recovery, including but not limited to, back pay, front pay, liquidated, compensatory, and punitive damages, and attorneys' fees, experts' fees, disbursements and costs which against the Genetic Information Nondiscrimination ActReleased Parties, that Xxxxx ever had, now have, or hereafter can, shall, or may have, for, upon, or by reason of any matter, cause, or thing whatsoever from the beginning of time to the date of Xxxxx'x execution of this Release. Xxxxx will never file any lawsuit, complaint or claim based on any Claims, and Xxxxx will withdraw with prejudice any such lawsuit, complaint, or claim that may already be pending in any court or administrative agency. Xxxxx promises never to seek any damages, remedies, or other relief for himself personally (any right to which Xxxxx hereby waives) by filing or prosecuting a charge with any administrative agency with respect to the Claims purportedly released by this Release. Notwithstanding any provision to the contrary, this subsection shall not apply (a) to challenges to the ADEA release, to the extent, if any, prohibited by applicable law; (b) to claims to enforce Xxxxx'x rights under this Agreement, (c) to claims that cannot legally be released under applicable law; (d) to claims by Xxxxx for benefits under benefit plans in which he maintains an interest as a former employee of NWEC, (e) to all rights and claims of contribution and of indemnification Xxxxx may have, whether under this Agreement, under the NWEC's Bylaws, by common law, statute, or otherwise, and (f) to rights and claims Xxxxx may have under any policies of directors and officers liability insurance. NWEC hereby releases Xxxxx and his heirs, successors or assigns, from all actions, causes of action, suits, debts, charges, complaints, claims, obligations, promises, contracts, agreements, controversies, damages, judgments, rights, costs, losses, expenses, attorneys' fees, liabilities and demands of any nature, whether known or unknown, whether actual or potential, whether specifically mentioned herein or not, in law or equity, whether statutory or common law, whether federal, state, local, or otherwise, as a result of any act that has heretofore occurred (all hereinafter referred to as "NWEC Claims"). NWEC further will never file any lawsuit, complaint, or claim based on any NWEC Claims, and NWEC will withdraw with prejudice any such lawsuit. Notwithstanding any provision to the contrary, this subsection shall not apply (a) to claims to enforce NWEC's rights under this Agreement, and (b) to claims that Xxxxx has committed fraud or willful misconduct.
