Class B Voting Rights Clause Samples
Class B Voting Rights. Except as otherwise expressly provided in this Certificate of Incorporation, the holders of Class B Memberships shall not be entitled to vote on any matter. On any matter on which the holders of Series B-1 Memberships and Series B-2 Memberships are entitled to vote together as a single class pursuant to this Certificate of Incorporation, each holder of Series B-1 Memberships shall be entitled to one (1) vote per such membership and each holder of Series B-2 Memberships shall be entitled to one-sixth (1/6) of one (1) vote per such membership.
Class B Voting Rights. Class B Units shall have no voting rights, however, the terms of the Class B Units cannot be altered without the consent of a majority of the Class B Members.
