Class Certification for Settlement Purposes. The Court hereby affirms its determinations in the Preliminary Approval Order certifying, for the purposes of the Settlement only, the Action as a class action pursuant to Rules 23(a) and (b)(3) of the Federal Rules of Civil Procedure on behalf of the Settlement Class consisting of all Persons1 who or which purchased or otherwise acquired K12 Securities2 between October 10, 2013 and October 27, 2015, inclusive (the “Settlement Class Period”), and were damaged thereby. Excluded from the Settlement Class are K12, Xxxxxxxxx X. Xxxxx, Xxxxx X. Xxxx, the Officers and directors of K12 at all relevant times, as well as members of their Immediate Families and their legal representatives, heirs, successors, or assigns any entity in which Defendants have or had a controlling interest; any trust of which Xxxxxxxxx X. Xxxxx and/or Xxxxx X. Xxxx is the settlor or which is for the benefit of their Immediate Family members; and the legal representatives, agents, affiliates, heirs, successors-in-interest or assigns of any such excluded party.
