Client and Agent Offset. The obligations of Client pursuant to this Servicing Agreement shall be subject to any defense, counterclaim or right of offset which Client may have against UDC or Servicer pursuant to this Servicing Agreement, any Receivable or otherwise except to the extent provided in the Payment Reimbursement Dispute Resolution Policy, a copy of which is attached to this Servicing Agreement as Exhibit F.
