Client Participation. Examine all studies, reports, sketches, drawings, specification, proposals, and other documents presented by TRANSYSTEMS, obtain advice of an attorney, insurance counselor and other CONSULTANT as CLIENT deems appropriate for such examination and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of TRANSYSTEMS.
Client Participation. (i) In conjunction with its obligation to participate in the Implementation Services as set forth and designated as such in Exhibit A and the Client responsibilities designated therein (“Implementation Client Responsibilities”), Client will assign personnel to perform the applicable tasks and will make commercially reasonable efforts to supply information and otherwise assist as reasonably necessary to affect the commencement of the Application Services via the Implementation Services.
(ii) For the avoidance of doubt, each Party acknowledges and agrees that its respective obligations under this Agreement may be contingent upon the timely performance by the other Party of such other Party’s obligations under this Agreement, including such other Party’s obligations under Exhibit A. For the further avoidance of doubt, neither Party shall be held liable for any failure or delay by such Party in meeting any applicable performance or delivery schedule under this Agreement if such failure or delay is caused by the other Party’s failure or delay in performing any of its obligations hereunder (a “Delay”). Any such Delay shall result in an automatic extension of the applicable performance or delivery schedule required of such Party by the period of such Delay.
Client Participation. WellSky’s obligations are conditioned on Client fulfilling its obligations hereunder, including, without limitation:
a. Providing WellSky with all information and assistance necessary to detect, simulate or reproduce and correct any Program Errors.
b. Providing WellSky access to the System and its related operating environment for the purpose of providing WellSky services;
Client Participation. To participate in the Services, Client must meet all health criteria established by NuStart from time to time. Client’s participation may be terminated by NuStart at any time it determines that Client does not meet such criteria. Client may participate in the Services to the extent Client desires, but NuStart reserves the right to terminate Client’s participation if Client does not demonstrate he or she is making a good faith effort, in the sole discretion of NuStart, to benefit from the Services.

Stormwater management is required for the project site. The services associated with incorporating stormwater management measures in accordance with the Central Coast Regional Water Quality Control Board NPDES Permit regulations. The civil engineering team will work with the landscape architect to identify opportunities for low impact design (LID) elements at the site such as self-retaining and bio retention areas. Storm Water Pollution Prevention Plan (SWPPP) The project is greater than one acre and a project SWPPP will be required. The TEN OVER STUDIO team has excluded services associated with the preparation of a project SWPPP document in accordance with the Construction General Permit Order 2009-0009-DWQ as amended by Order 2010-0014-DWQ. administered by the State Water Resources Control Board (SWRCB). Client Participation. Freeit is entitled to rely on Client’s decisions and approvals in connection with the Services. Client understands that Freeit is relying upon the information that Client provides and Client represents that such information is true, accurate and complete. Because of the importance of such information to this project, Client agrees to release Freeit and its personnel from any liability and costs relating to the Services attributable to any false, inaccurate or incomplete information provided by Client. Client shall not use the Services in connection with any infringement or misappropriation of any intellectual property rights.
Client Participation. Some Enrolled Members have a Client Participation (formerly known as “patient liability”), which must be met before Medicaid reimbursement for services is available. This includes Enrolled Members with income above the Agency-defined threshold and eligible for Medicaid on the following bases: (i) Enrolled Members in an institutional setting; and (ii) Enrolled Members in a 1915(c) HCBS Waiver. The Agency has sole responsibility for determining the Client Participation amount and will notify the Contractor of Client Participation via the LTSS file. The Contractor shall develop, implement, and adhere to policies and procedures subject to Agency review and approval, to identify the Provider to which Client Participation shall be paid by Enrolled Members enrolled in LTSS. The Contractor shall implement mechanisms to communicate the Client Participation amount to Providers and shall delegate the collection of Client Participation to Providers. The Contractor shall pay Providers net of the applicable Client Participation amount.
