Client Responsibilities. You are responsible for (a) assessing each participants’ suitability for the Training, (b) enrollment in the appropriate course(s) and (c) your participants’ attendance at scheduled courses.
Client Responsibilities. We will use all reasonable efforts to perform any maintenance and support services remotely. Currently, we use a third-party secure unattended connectivity tool called Bomgar, as well as GotoAssist by Citrix. Therefore, you agree to maintain a high-speed internet connection capable of connecting us to your PCs and server(s). You agree to provide us with a login account and local administrative privileges as we may reasonably require to perform remote services. We will, at our option, use the secure connection to assist with proper diagnosis and resolution, subject to any reasonably applicable security protocols. If we cannot resolve a support issue remotely, we may be required to provide onsite services. In such event, we will be responsible for our travel expenses, unless it is determined that the reason onsite support was required was a reason outside our control. Either way, you agree to provide us with full and free access to the Tyler Software, working space, adequate facilities within a reasonable distance from the equipment, and use of machines, attachments, features, or other equipment reasonably necessary for us to provide the maintenance and support services, all at no charge to us. We strongly recommend that you also maintain a VPN for backup connectivity purposes.
Client Responsibilities. Client is responsible for all activity occurring under Authorized User accounts and for each Authorized User’s compliance with all terms and conditions of the Agreement. Client shall have sole responsibility for the accuracy, quality, integrity, legality, reliability and appropriateness of all Client Data generated, uploaded and transmitted by Client and Authorized Users. Client shall use commercially reasonable efforts to prevent unauthorized access to, or use of, the JAGGAER Applications and notify JAGGAER immediately of any unauthorized use of any password or account or any other known or suspected breach of security.
Client Responsibilities. Client:
a. will designate the Client Primary Technical Contact (PTC), Client’s representative for IBM to direct general technical information pertaining to the Service. The PTC must have sufficient technical knowledge regarding the Eligible Products in Client’s environment to enable effective communication with the IBM support center;
b. agrees to provide IBM the inventory of Eligible Products to be covered at each specified location, and to provide written notice of changes to inventory within one month after the change occurs. Such changes may cause a revision to charges;
c. agrees to ensure that any access codes IBM provides are used only by authorized Client personnel;
d. will have valid licensing and subscription (as applicable) in place for Eligible Programs covered by this Service;
e. will provide appropriate remote access to Eligible Products and provide IBM with all relevant and available diagnostic information (including product or system information) pertaining to software problems. Client remains responsible for adequately protecting Client’s system and all data contained therein whenever IBM remotely accesses it with permission. If Client declines such remote system access, IBM may be limited in its ability to provide the full Service necessary to resolve the problem. If IBM is unable to do so, IBM will notify Client and close the service call; and
f. is responsible for obtaining all necessary permissions to use, provide, store and process content in Services and grants IBM permission to do the same. Client’s content may be subject to governmental regulation or may require security measures beyond those specified by IBM for an offering. Client will not input or provide such content unless IBM has first agreed in writing to implement additional required security measures.
g. will pay his own communication charges associated with accessing this Service including but not limited to, phone and internet charges;
h. will obtain consents for IBM and its subcontractors to process contact information of Client’s employees and contractors in furtherance of our business relationship. IBM will comply with requests to access, update, correct or delete such contact information upon requests; If making his facilities, software, hardware, networks or other similar resources available to IBM, Client will promptly obtain any licenses or approvals necessary for IBM or its subcontractors to use, access and modify such resources to the extent necessary for IBM to ...
Client Responsibilities. 2.1. You agree that you will:
(i) provide, in a timely fashion, all information, assistance and facilities that we require to enable us to provide the services;
(ii) provide information that is true, accurate and not misleading;
(iii) use the results of the services only for the purpose for which the services are provided;
(iv) advise all of our personnel who visit your premises of what is required of them in relation to health and safety, including location and use of safety equipment, emergency evacuations, and the reporting procedures for accidents and hazards and other matters.
Client Responsibilities. 4.1 In delivering the Services, We will rely on Information supplied by You (or sourced on Your behalf from third parties). We do not conduct any review, audit or verification of the Information or attempt to detect any irregularity, non-compliance fraud or error; or assess Your solvency, while undertaking the Services. Therefore, You must provide us with all Information We request by the required dates, ensure that all Information You provide is complete, true and correct, lawfully compliant and not misleading and immediately update Us of any changes, errors or other matters You become aware of relating to Your situation, requirements or the Information.
4.2 The Client shall give XXXXX XXXXXXXX ACCOUNTING not less than fourteen (14) days prior written notice of any proposed change of ownership of the Client and/or any other change in the Client’s details (including but not limited to, changes in the Client’s name, address and contact phone or fax number/s, change of trustees or business practice). The Client shall be liable for any loss incurred by XXXXX XXXXXXXX ACCOUNTING as a result of the Client’s failure to comply with this clause.
4.3 You are responsible for checking and confirming the accuracy, correctness, and completeness before accepting, approving or signing off draft and final versions of Our work or IRD or ACC assessments, determinations or statements of account.
4.4 We have no liability for any errors or omissions that are based on Information supplied by You that We have relied on, or where You have checked and accepted, approved or signed off Our work or third party material.
4.5 You are fully responsible for meeting Your company and tax obligations and payments by the required dates, retention of records and other legal requirements; and have sole liability for any liability, penalties or interest that are imposed against You for any reason by IRD, ACC or any other authority or organisation.
4.6 The Client must not copy or use any XXXXX XXXXXXXX ACCOUNTING template, Information or intellectual property for their own use or benefit other than strictly for the purposes of this Agreement.
4.7 You fully indemnify XXXXX XXXXXXXX ACCOUNTING as the case may be against actual costs, loss, any claim, damages or liability incurred, due to any Client breach, act or omission in connection with this Agreement or the Services.
Client Responsibilities. 3.1. The management and control of each Fund is vested exclusively in its Board of Trustees and its officers, subject to the terms and provisions of each Fund’s respective Governing Documents. The Board of a Fund and its officers will make all decisions, perform all management functions relating to the operation of the Fund and authorize all transactions. Without limiting the foregoing, the officers of a Fund shall:
(a) Designate properly qualified individuals to oversee the Services and establish and maintain internal controls, including monitoring the ongoing activities of the Fund in its sole discretion.
(b) Evaluate the accuracy, and accept responsibility for the results, of the Services, review and approve all reports, analyses and records resulting from the Services and promptly inform SS&C of any errors it is in a position to identify.
(c) Provide, or cause to be provided, and accept responsibility for, valuations of Fund’s assets and liabilities in accordance with Client’s written valuation policies.
(d) Provide SS&C with timely and accurate information including trading and such Fund’s investor records, valuations and any other items required by SS&C in order to perform the Services and its duties and obligations hereunder.
3.2. The Services, including any services that involve price comparison to vendors and other sources, model or analytical pricing or any other pricing functions, are provided by SS&C as a support function to Client and do not limit or modify Client’s responsibility for determining the value of such Fund’s assets and liabilities.
3.3. Each Client is solely and exclusively responsible for ensuring that it complies with Law and its Governing Documents. It is the Fund’s responsibility to provide all final Fund Governing Documents as of the Effective Date. Client will notify SS&C in writing of any changes to its Governing Documents that may materially impact the Services and/or that affect Fund’s investment strategy, liquidity or risk profile in any material respect prior to such changes taking effect. SS&C is not responsible for monitoring Client’s compliance with (i) Law, (ii) its respective Governing Documents or (iii) any investment restrictions.
3.4. In the event that Market Data is supplied to or through SS&C Associates in connection with the Services, the Market Data is proprietary to Data Suppliers and is provided on a limited internal-use license basis. Market Data may: (i) only be used by Client in connection with the Serv...
Client Responsibilities. `
9.1 CLIENT will ensure that:
9.1.1 CLIENT shall, except as otherwise provided in an Order Form, (a) be responsible for all Users' compliance with this AGREEMENT; (b) be solely responsible for the accuracy, quality, integrity and legality of CLIENT content and of the means by which CLIENT acquired CLIENT content; (c) use commercially reasonable efforts to prevent unauthorized access to or use of the SERVICE, and notify COMPANY promptly of any such unauthorized access or use, and (d) use the SERVICE only in accordance with applicable laws and government regulations and any instruction manuals which COMPANY may provide.
9.1.2 CLIENT shall not (a) make the SERVICE available to anyone other than Users, (b) sell, resell, rent or lease the SERVICE, use the SERVICE to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third party privacy rights, (d) use the SERVICE to store or transmit malicious code, (e) interfere with or disrupt the integrity or performance of the SERVICE or third party content contained therein, or (f) attempt to gain unauthorized access to the SERVICE or its related systems or networks.
9.2 It shall be the responsibility of CLIENT to be familiar with and abide by all applicable local, national and international laws and regulations (including but not limited to policies and laws related to the privacy of personal information of Users) in relation to the use of the SERVICE. CLIENT is solely responsible for all acts or omissions that occur under CLIENT’s account for use of the SERVICE. COMPANY does not and will not interpret any laws, rules, or regulations for CLIENT, and CLIENT is ultimately responsible for making informed decisions regarding the data collection of Users and the legalities of such collection, use or disclosure. CLIENT herein represents, covenants, and warrants that CLIENT shall use the SERVICE only in compliance with this AGREEMENT, any applicable Order Form(s), and all applicable Addenda and/or Appendices.
Client Responsibilities. We will provide you with an income tax organizer to help you compile and document the information necessary to prepare your income tax returns. You must complete the income tax organizer with accurate and complete information. Income from all sources, including those outside the U.S., is required. We rely upon the accuracy and completeness of both the information you provide in the income tax organizer and other supporting data you provide in rendering professional services to you.
Client Responsibilities. The Client assumes all risks arising from the use of the Formidium Systems, including any private or confidential data, Client Data, or other private information uploaded to the Formidium Systems, including the risk of any inadvertent disclosure or unauthorized access thereto.
