Client Resources. Commencing on the Effective Date and continuing for so long as Service Provider requires the same for the performance of the Services, including during the In-Situ Periods, Client shall provide to Service Provider, [***]* and subject to Section 11.04 the use of the space in Client's premises that Service Provider may from time to time reasonably require for members of the Project Staff who are directly involved in the provision or coordination of Services at Client Service Locations, in connection with the performance of the Services, together with office furnishings, telephone equipment and services, janitorial services, utilities and office-related equipment, supplies and duplicating services reasonably necessary in connection with the performance of the Services.

Client Resources. Client shall make available to Dynamicweb any data, information, assets, concepts, specifications, information, instructions or materials specifically identified in the Statement of Work or any approved Change Request, or as reasonably requested by Dynamicweb (collectively, “Client Resources”). Client is responsible for ensuring that all such Client Resources are accurate and complete. Client shall provide Client Resources in electronic format or in such other format as Dynamicweb may from time to time request. Client shall pay all fees and expenses incurred by Dynamicweb to bring nonconforming Client Resources up to standards required for Dynamicweb to perform the Professional Services. Client represents and warrants that the use of the Client Resources by Dynamicweb does not infringe any rights of Third Parties.
Client Resources. All right, title, and interest in and to the Client Resources, including all intellectual property rights therein, are and will remain with Client. Client hereby grants to DynamicWeb a non- exclusive license to use the Client Resources to provide the Services during the Term.

Compliance — Infractions of the entire guidelines and criteria, including Exhibit A and B, may result in removal of certification status. HeartMath reserves the right to modify the specific terms of our certification agreements based on these or any other expressions of non-compliant behavior or unconscionable conduct. HeartMath will provide notice of a specific breach of the agreement, and Mentor will have 30 days to resolve said breach. If the breach is not satisfactorily resolved within 30 days, HeartMath can at its discretion terminate this agreement. We will communicate in writing any changes to these guidelines or existing policy. If terminated, Xxxxxx agrees to cease using HeartMath IP in the delivery of their mentoring sessions. Client Resources. Client acknowledges and agrees that Client Resources are not, and are not intended to be, considered or treated as, employees of Company or any of its affiliates, and that such Client Resources are not, and are not intended to be, eligible to participate in any benefit programs or in any “Employee Benefit Plans” of Company. All matters of compensation, benefits and other terms of employment for any such Client Resource shall be solely a matter between Client and such individual. Client shall be solely responsible and liable for the payment of all compensation and benefits under any such employee benefit plan for Client Resources.
