Client Resources. All right, title, and interest in and to the Client Resources, including all intellectual property rights therein, are and will remain with Client. Client hereby grants to DynamicWeb a non- exclusive license to use the Client Resources to provide the Services during the Term.
Client Resources. During the Term, Client will provide the Client Resources (as defined below) to the extent necessary for FIS’s use in providing the Services. These may include, by way of example and not limitation, use of Client’s software and/or Client-provided third-party software, adequate working facilities, equipment, supplies, connectivity and/or consents to establishing connectivity, consents and (PID # 224877) ______ initials _______initials authorizations necessary for FIS’s Personnel to use any of the foregoing of at least the same standard as those provided to the equivalent level of Client’s employees, in addition to necessary computer time and other support infrastructure to FIS (all the foregoing collectively, “Client Resources”). 2.4.1 Client shall provide FIS with reasonable and timely access to Client’s premises, and Client shall make available to FIS such qualified Client subject-matter experts or other Client personnel on such dedicated or other basis and for such times as shall be reasonably necessary for the performance of FIS’s obligations hereunder. 2.4.2 To the extent necessary for the performance of Services under any Schedule or SOW, Client agrees to provide FIS with access to use and modify the Client’s software and related documentation without payment of any software license or maintenance fees in order to perform the Services or to take any other action contemplated by this Agreement. If that such software contains any third party software, Client shall at no cost or expense to FIS use commercially reasonable efforts to procure from such third party its consent (if required) for FIS to have access to use and modify such software.
Client Resources. Client shall make available to DynamicWeb any data, information, assets, concepts, specifications, information, instructions or materials specifically identified in the Statement of Work or any approved Change Request, or as reasonably requested by DynamicWeb (collectively, “Client Resources”). Client is responsible for ensuring that all such Client Resources are accurate and complete. Client shall provide Client Resources in electronic format or in such other format as DynamicWeb may from time to time request. Client shall pay all fees and expenses incurred by DynamicWeb to bring nonconforming Client Resources up to standards required for DynamicWeb to perform the Professional Services. Client represents and warrants that the use of the Client Resources by DynamicWeb does not infringe any rights of Third Parties.
Client Resources. AND RESPONSIBILITIES. Client shall be responsible for the following Client Resources and responsibilities: (a) Work with ALLTEL to analyze initial and ongoing needs regarding system parameters; (b) Work with ALLTEL to develop a process for Client approval of changes made to tables; (c) Communicate to ALLTEL the necessary business input to allow the Variable Staff to establish and maintain the tables in a manner consistent with Client's business objectives; (d) Approve (or waive approval of) changes as appropriate per defined process to be mutually agreed upon by ALLTEL and Client; and (e) Adjust the level of Table Administration as Table Administration resources are reasonably needed to provide timely administration of the tables.
