CLOSING AND DELIVERY OF SHARE CERTIFICATES. Delivery and payment for the Shares will be completed in one closing (the "CLOSING") at the offices of Xxxxxx Xxxxxxx Xxxxxxxx & Xxxxxx, 000 Xxxx Xxxx Xxxx, Xxxx Xxxx, Xxxxxxxxxx at 8:00 a.m. (Pacific Daylight Time) (the "CLOSING TIME") on such date as the Corporation and the Purchaser may agree (the "CLOSING DATE"), but in any event not later than September 4, 1998 (unless extended by mutual agreement of the Corporation and the Purchaser).
