Common use of Closing and Location Clause in Contracts

Closing and Location. (a) The closing of the Restructuring Transactions contemplated by this Agreement (the “Closing”), shall take place at the offices of Winston & Xxxxxx LLP, 000 Xxxxxxx Xxxxxx, Xxxxx 0000 Xxxxxxx, Xxxxx 00000 or such other place as shall be mutually agreed to by the Parties, at 10:00 a.m., Central time, as promptly as practicable but in no event later than the first (1st) Business Day after the satisfaction or (to the extent permitted by Applicable Law) waiver of all of the conditions (other than those conditions that by their nature are to be satisfied at Closing, but subject to the fulfillment or waiver of those conditions) set forth in Section 9 (the date of the Closing, the “Closing Date”).
