CLOSING DATE; SECOND CLOSING DATE;. Subject to the satisfaction or waiver of the conditions set forth in Sections 8(a) and 9(a), the Closing Date shall be 12:00 noon, New York City time, on or before the date which is three Business Days after the date of this Agreement, or such other mutually agreed to time. The closing of the sale of the Initial Shares and the other transactions contemplated hereby shall occur on the Closing Date at the offices of the Escrow Agent. The Second Closing shall occur on the Second Closing Date at the offices of the Escrow Agent.
