Public Statements, Press Releases, Etc. The Company and the Buyer shall have the right to approve before issuance any press releases or any other public statements with respect to the transactions contemplated hereby; provided, however, that the Company shall be entitled, without the prior approval of the Buyer, to make any press release or other public disclosure with respect to such transactions as is required by applicable law and regulations (although the Buyer shall be consulted by the Company in connection with any such press release or other public disclosure prior to its release and shall be provided with a copy thereof).

The Company and Pfizer shall have the right to approve before issuance any press releases or any other public statements with respect to the transactions contemplated hereby; PROVIDED, HOWEVER, that the Company shall be entitled, without the prior approval of Pfizer, to make any press release or other public disclosure with respect to such transactions as is required by applicable law and regulations, including the 1933 Act and the rules and regulations promulgated thereunder and the rules and regulations of the Nasdaq National Market (although Pfizer and its counsel shall be consulted and provided with a draft press release by the Company in connection with any such press release or other public disclosure prior to its release and shall be provided with a final copy thereof promptly following the release thereof).
Public Statements, Press Releases, Etc. The Investor and the Company shall not, without the prior approval of the other party, issue a press release or other public statement about the transactions contemplated by this Agreement.

The Company and the Holders holding a majority in interest of the New Notes shall have the right to approve before issuance any press releases or any other public statements with respect to the transactions contemplated hereby; provided, however, that the Company shall be entitled, without the prior approval of the Holders, to make any press release or other public disclosure with respect to such transactions that it deems appropriate pursuant to applicable law and regulations, including the Exchange Act and the rules and regulations promulgated thereunder.

(2) Within two Business Days after the Closing Date, the Company will publicly report the issue and sale of the Preferred Shares, the Unit Purchase Warrants and the Closing Warrants by filing with the SEC a Current Report on Form 8-K under the 1934 Act which report shall describe the material terms, and include copies of, the Transaction Documents (or the forms thereof) as exhibits to such report.

During the period from the date of execution and delivery of this Agreement by the Company and the Buyer to the date which is 183 days after the Closing Date, the Company and the Buyer shall have the right to review and comment on any press release or any other written public statement with respect to the transactions contemplated hereby before such press release or written public statement is issued or made; provided, however, that with respect to any press release or other public disclosure with respect to such transactions which is required by applicable law and regulations to be made by the Company, the Company shall make reasonable efforts to consult with the Buyer in connection with any such press release or other written public disclosure prior to its release and shall provide a copy thereof to the Buyer. Notwithstanding the foregoing, the Company shall not at any time issue any press release or make any public statement (other than in the Registration Statement) with respect to the transactions contemplated hereby which press release or public statement names the Buyer unless the Company shall have afforded the Buyer an opportunity to review the same a reasonable period of time prior to issuing such press release or statement and obtained the approval thereof by the Buyer (which approval shall not be unreasonably withheld, delayed or conditioned).
