Common use of Closing Deliveries by Seller Clause in Contracts

Closing Deliveries by Seller. At the Closing, Seller shall (a) take all steps necessary to place Buyer in actual possession and operating control of the Business and the Purchased Assets and (b) deliver the following items, duly executed by Seller as applicable, all of which shall be in form and substance reasonably acceptable to Buyer:

Closing Deliveries by Seller. At the Closing, Seller shall (ai) take all steps reasonably necessary to place Buyer in actual possession and operating control of the Business and the Purchased Assets and (bii) deliver assign and transfer to Buyer all of its right, title and interest in and to the Purchased Assets free and clear of any and all Encumbrances, including by delivery of the following itemsdocuments, duly executed by Seller or other Person, as applicable, all of which shall be in form and substance reasonably acceptable to Buyer:

Closing Deliveries by Seller. At the Closing, Seller shall (ai) take all steps necessary to place Buyer Purchaser in actual possession and operating control of the Business and the Purchased Assets free and clear of all Liens (other than Permitted Liens) and (bii) deliver to Purchaser each of the following items, duly executed and delivered by Seller as applicable, all of which shall be in form and substance reasonably acceptable to BuyerSeller:

Closing Deliveries by Seller. At the Closing, Seller shall use its best efforts to (ai) take all steps necessary to place Buyer in actual possession and operating control of the Business and the Purchased Assets and (bii) deliver the following items, duly executed by Seller as applicable, all of which shall be in form and substance reasonably acceptable to Buyer:

Closing Deliveries by Seller. At the Closing, Seller shall (ai) take all steps reasonably necessary to place Buyer in actual possession and operating control of the Business and the Purchased Assets (other than Government Contracts, which shall be handled in accordance with Section 1.4), and (bii) deliver the following items, duly executed by Seller as applicable, all of which shall be in form and substance reasonably acceptable to Buyer: (a) The Escrow Agreement;

At the Closing, Seller shall (ai) take all reasonable steps necessary to place Buyer in actual possession and operating control of the Business, the Business Locations and the Purchased Assets and (bii) deliver the following items, duly executed by Seller as applicable, all of which shall be in form and substance reasonably acceptable to Buyer:

Closing Deliveries by Seller. At the Closing, Seller shall (ai) take all steps necessary to place Buyer in actual possession and operating control of the Business and the Purchased Assets and (bii) deliver the following items, duly executed by Seller Seller, Gxxx Xxxx and Seller's shareholders, as applicable, all of which shall be in form and substance reasonably acceptable to Buyer:

Closing Deliveries by Seller. At the Closing, Seller shall (a) take all steps necessary to place Buyer in actual possession and operating control of the Business and the Purchased Assets and (b) deliver the following items, duly executed by Seller as applicable, all of which shall be in form and substance reasonably acceptable to Buyer: (a) General Assignment and Xxxx of Sale. General Assignment and Xxxx of Sale covering all of the applicable Purchased Assets, substantially in the form attached hereto as Exhibit C (the “General Assignment and Xxxx of Sale”);
