Common use of Closing Documents and Proceedings Clause in Contracts

Closing Documents and Proceedings. All documents relating to the --------------------------------- authorization and completion of the transaction contemplated by this Agreement and all actions and proceedings taken at or prior to the Time of Closing in connection with the performance by the Vendor of its obligations under this Agreement shall be satisfactory to the Purchaser and to the Purchaser's Counsel, acting reasonably, and the Purchaser shall have received copies of all such documents and evidence that all such actions and proceedings have been taken as it may reasonably request, in form and substance reasonably satisfactory to the Purchaser and the Purchaser's Counsel.

Closing Documents and Proceedings. All documents relating to the --------------------------------- authorization and completion of the transaction contemplated by this Agreement and all actions and proceedings taken at or prior to the Time of Closing in connection with the performance by the Vendor of its his obligations under this Agreement shall be satisfactory to the Purchaser and to the Purchaser's Counsel, acting reasonably, and the Purchaser shall have received copies of all such documents and evidence that all such actions and proceedings have been taken as it may reasonably request, in form and substance reasonably satisfactory to the Purchaser and the Purchaser's Counsel.

Closing Documents and Proceedings. All documents relating to the --------------------------------- due authorization and completion of the transaction contemplated by this Agreement Contemplated Transactions and all actions and proceedings taken at or prior to the Closing Time of Closing in connection with the performance by the Vendor of its obligations under this Agreement Agreement, shall be satisfactory to the Purchaser and to the Purchaser's ’s Counsel, acting reasonably, and the Purchaser shall have received copies of all such documents and evidence that all such actions and proceedings have been taken as it may reasonably request, request in form and substance reasonably satisfactory to the Purchaser and the Purchaser's ’s Counsel, acting reasonably.

All documents relating to the --------------------------------- due authorization and completion of the transaction contemplated by this Agreement Contemplated Transactions and all actions and proceedings taken at or prior to the Closing Time of Closing in connection with the performance by the Vendor Purchaser of its obligations under this Agreement shall be satisfactory to the Purchaser Vendor and to the Purchaser's Counselits legal counsel, acting reasonably, and the Purchaser Vendor shall have received copies of all such documents and evidence that all such actions and proceedings have been taken as it may reasonably request, request in form and substance reasonably satisfactory to the Purchaser Vendor and the Purchaser's Counselits legal counsel.

All documents relating to the --------------------------------- due authorization and completion of the transaction transactions contemplated by this Agreement and the Transaction Documents and all actions and proceedings taken at or prior to the Closing Time of Closing in connection with the performance by the Vendor Seller of its obligations under this Agreement shall be satisfactory to the Purchaser and to the Purchaser's Counsel, both acting reasonably, and the Purchaser shall have received copies of all such documents and evidence that all such actions and proceedings have been taken as it may reasonably request, in form and substance reasonably satisfactory to the Purchaser and the Purchaser's Counsel.

Closing Documents and Proceedings. All documents relating to the --------------------------------- authorization and completion of the transaction transactions contemplated by this Agreement to be executed and delivered (including without limitation those listed in Section 7.2), and all actions and proceedings taken to be taken, at or prior to the Time of Closing in connection with the performance by the Vendor of its obligations under this Agreement shall be reasonably satisfactory to the Purchaser Purchasers and to the Purchaser's Counsel, acting reasonably, Purchasers' Counsel and each of the Purchaser Purchasers shall have received copies of all such documents and evidence that all such actions and proceedings have been taken as it may reasonably request, in form and substance reasonably satisfactory to the Purchaser Purchasers and the Purchaser's Purchasers' Counsel, acting reasonably.

All documents relating to the --------------------------------- authorization and completion of the transaction contemplated by this Agreement Transaction and all actions and proceedings taken at or prior to the Time of Closing in connection with the performance by the Vendor Purchaser of its obligations under this Agreement shall be satisfactory to the Purchaser Vendors and to the Purchaser's Vendors’ Counsel, acting reasonably, and the Purchaser Vendors shall have received copies of all such documents and evidence that all such actions and proceedings have been taken as it may reasonably request, in form and substance reasonably satisfactory to the Purchaser Vendors and the Purchaser's Vendors’ Counsel, acting reasonably.

All documents relating to the --------------------------------- due authorization and completion of the transaction transactions contemplated by this Agreement and the Transaction Documents and all actions and proceedings taken at or prior to the Closing Time of Closing in connection with the performance by the Vendor Purchaser of its obligations under this Agreement shall be satisfactory to the Purchaser Seller and to the PurchaserSeller's Counsel, both acting reasonably, and the Purchaser Seller shall have received copies of all such documents and evidence that all such actions and proceedings have been taken as it may reasonably request, request in form and substance reasonably satisfactory to the Purchaser Seller and the PurchaserSeller's Counsel, acting reasonably.

Closing Documents and Proceedings. All documents relating to the --------------------------------- due authorization and completion of the transaction contemplated by this Agreement hereby and all actions and proceedings taken at on or prior to the Time of Closing in connection with the performance by the Vendor Sellers and the Principal of its their obligations under this Agreement shall be satisfactory to the Purchaser ACT and to the Purchaser's Counsel, acting reasonably, its counsel and the Purchaser ACT shall have received copies of all such documents and or other evidence that all such actions and proceedings have been taken as it may reasonably request, request in form and substance reasonably satisfactory to the Purchaser ACT and the Purchaser's Counselits counsel.

Closing Documents and Proceedings. All documents relating to the --------------------------------- authorization and completion of the transaction contemplated by this Agreement Transaction and all actions and proceedings taken at or prior to the Time of Closing in connection with the performance by the Vendor Vendors and the Fund of its their respective obligations under this Agreement Agreement, including a special resolution of the Partnership, and such other agreements, certificates and other documents as are reasonably requested by the Purchaser shall be satisfactory to the Purchaser and to the Purchaser's Purchaser Counsel, acting reasonably, and the Purchaser shall have received copies of all such agreements, certificates and other documents and evidence that all such actions and proceedings have been taken as it they may reasonably request, in form and substance reasonably satisfactory to the Purchaser and the Purchaser's Purchaser Counsel, acting reasonably.
