Source Code. 5.1 Nothing in this XXXX shall give to the User or any other person any right to access or use the Source Code or constitute any licence of the Source Code.
Source Code. 8.4.2.1 Results - Rights of a Party Where, in accordance with Section 9.8.3, a Party has Access Rights to Source Code which is Results for Exploitation, Access Rights to such Source Code, as far as Needed for the Exploitation of the Party’s own Results, shall comprise a worldwide right to use, to make copies, to modify, to develop, to adapt Source Code for research, to create/market a product/process and to create/provide a service. If it is intended to use the services of a third party for the purposes of this Section 9.8.4.2.1, the Parties shall agree on the terms thereof, with due observance of the interests of the Party granting the Access Rights as set out in Section 9.2 of this Consortium Agreement.
Source Code. If have purchased a license to the source code, you may make modifications, enhancements, derivative works and/or extensions to that licensed source code provided to you under the following terms: • Lidor Systems grants you the non-exclusive license to view and modify the Source Code for the sole purposes of education and troubleshooting. If you troubleshoot the Source Code, then you may compile the corrected Source Code and use and distribute the resulting object code solely as a replacement for the corresponding Redistributables the Source Code compiles into. • You will not sub-license, rent, lease, transfer, sell, charge, disclose, assign or make any commercial use of the Source Code either in whole or in part for money or other consideration or free of charge to any third party. • You will limit access to the Source Code to those of your employees, agents, contractors, or sub-contractors who either have a need to know or who are directly engaged in the maintenance or enhancement of the related SOFTWARE PRODUCT. • You may not distribute the Source Code of the SOFTWARE PRODUCT, or any modification, enhancement, derivative work and/or extension thereto, in source code form. • Under no circumstances may the Source Code be used in whole or in part, as the basis for creating a product that provides the same, or substantially the same, functionality as any Lidor Systems products. • You will not modify or delete, in whole or part, any copyright, trade secret, proprietary, confidential or other notice thereon or therein without the express, prior written consent of Lidor Systems. • Lidor Systems shall retain all rights, title and interest in and to all corrections, modifications and derivative works of the Source Code created by the Licensee, including all copyrights subsisting therein, to the extent such corrections, modifications or derivative works contain copyrightable code or expression derived from the Source Code. • You acknowledge that the Source Code contains valuable and proprietary trade secrets of Lidor Systems, and agrees to expend every effort to insure its confidentiality. • YOU UNDERSTAND AND ACKNOWLEDGE THAT SOURCE CODE IS LICENSED AS IS, AND THAT LIDOR SYSTEMS DOES NOT PROVIDE ANY TECHNICAL SUPPORT FOR SOURCE CODE.
Source Code. The Licensed Software, including all corresponding programmer’s comments, data files and structures, headers, files, macros, annotations, and documentation.
Source Code. Software may contain source code that, unless expressly licensed for other purposes, is provided solely for reference purposes pursuant to the terms of this Agreement. Source code may not be redistributed unless expressly provided for in this Agreement.
Source Code. Subscriber shall have no right hereunder to receive, review, use or otherwise have access to the source code for the Products.
Source Code. Progress may make the source code for certain Product Packages available to you hereunder. Any Product Package source code that is provided to you by us hereunder, is provided so that your Licensed Developers can create modifications under the terms of this XXXX and subject to the following conditions:
(a) While we do not claim any ownership rights in Your Integrated Products, any modifications your Licensed Developers develop to the Product Package source code will be our exclusive property, and you agree to and hereby do assign all right, title and interest in and to such modifications and all rights associated therewith to us.
(b) You will be entitled to use modifications of the Product Package’s source code developed by your Licensed Developers under the terms of this XXXX and we grant you a license to use such modifications pursuant to the applicable Developer License grant set out in section 4 (Product- Specific Terms).
(c) You acknowledge that the Product Package’s source code is confidential and contains our valuable and proprietary trade secrets. Except as otherwise expressly provided in this XXXX, under no circumstances may any portion of the Product Package’s source code or any modified version of the source code be distributed, disclosed or otherwise made available to any third party.
(d) We DO NOT provide technical support for any source code that has been modified by any party other than us.
(e) The Product Package’s source code is provided “as is”, without warranty of any kind. Refunds are not available for any licenses that include a right to receive source code.

8.4.2.1 the Parties shall agree on the terms thereof, with due observance of the interests of the Party granting the Access Rights as set out in Article 9.2 of this Consortium Agreement.
Source Code. Nothing in this Agreement grants you, and/or any person(s) acting with or for you any rights, license or interest with respect to the source code of the Software.
Source Code. Neither the Company nor any other Person acting on its behalf has disclosed, delivered or licensed to any Person, agreed to disclose, deliver or license to any Person, or permitted the disclosure or delivery, at the exception of APP, to any escrow agent or other Person of, any source code for any Company Product except for disclosures to employees, contractors or consultants under binding written agreements that prohibit use or disclosure except in the performances of services to the Company.
