Common use of Co-Sale Option of Investors Clause in Contracts

Co-Sale Option of Investors. In the event that the Company and the Investors do not exercise their rights under Section 3.3 with respect to all of the Shares proposed to be so Transferred in connection with any Transaction Offer, the Transferring Restricted Stockholder may Transfer such Shares only pursuant to and in accordance with the following provisions of this Section 3.4:

Co-Sale Option of Investors. In the event that the Company and the Investors do not exercise their rights under Section 3.3 with respect to all of the Offered Shares proposed to be so Transferred by the Transferring Stockholder in connection with any a Transaction Offer, the Transferring Restricted Stockholder may Transfer such Offered Shares to a Buyer only pursuant to and in accordance with the following provisions of this Section 3.4:

Co-Sale Option of Investors. In the event that the Company Company, the Investors and the Investors Founders do not exercise their rights under Section 3.3 3.4 with respect to all of the Shares proposed to be so Transferred in connection with any Transaction Offer, the Transferring Restricted Stockholder may Transfer such Shares only pursuant to and in accordance with the following provisions of this Section 3.43.5:

Co-Sale Option of Investors. In the event that any Transferring Stockholder desires to sell all or any portion of the Shares held by such person to a Buyer and either (i) Section 2.2 is not applicable or (ii) the right to purchase under Section 2.2 is exercised by the Company and or is not exercised by Company or the Investors do not exercise or their rights under Section 3.3 Transferees with respect to all of the Shares proposed to be so Transferred in connection with any Transaction OfferTransferred, the such Transferring Restricted Stockholder may Transfer such Shares only pursuant to and in accordance with the following provisions of this Section 3.42.3:

Co-Sale Option of Investors. In the event that the Company and the Investors do not exercise their rights under Section 3.3 7.1 with respect to all of the Offered Shares proposed to be so Transferred transferred in connection with any Transaction OfferProposed Transaction, during the Transferring Restricted Stockholder Restriction Period, Xxxxxxxx may Transfer transfer such Offered Shares only pursuant to and in accordance with the following provisions of this Section 3.47.2:
