LIABILITY OF INVESTORS. (a) Nothing herein shall require the Sponsor to maintain any minimum net worth or shall make any person associated with the Sponsor individually liable for any debt, liability or obligation of this FuturesAccess Fund or of the Sponsor.
(b) No Investor shall have any obligation to restore any negative balance in the capital account established for each Unit pursuant to Section 2.02 (“Capital Account”) of such Investor.
(c) The Sponsor shall have no obligation to restore any negative balance in any Investor’s or in the Sponsor’s Capital Account.
(d) Except as provided in Section 2.08 (providing for chargebacks to current or former Investors), the Sponsor and the Investors shall be liable for the repayment, satisfaction and discharge of debts, liabilities and obligations of this FuturesAccess Fund only to the extent of the Sponsor’s or such Investor’s investment in this FuturesAccess Fund and not in excess thereof.

LIABILITY OF INVESTORS. (a) Nothing herein shall require the Manager to maintain any minimum net worth or shall make any person associated with the Manager individually liable for any debt, liability or obligation of this Fund or of the Manager, and neither shall the Manager have any obligation to restore any negative balance in any Investor's or in the Manager's Capital Account.
(b) Except as provided in Section 2.08 (providing for chargebacks to current or former Investors), an Investor shall be liable for the repayment, satisfaction and discharge of debts, liabilities and obligations of this Fund only to the extent of such Investor's investment in this Fund and not in excess thereof.
(c) No Investor shall have any obligation to restore any negative balance in such Investor's Capital Account, and neither shall the Manager have any obligation to restore any negative balance in any Investor's or in the Manager's Capital Account.
LIABILITY OF INVESTORS. Each participating Investor shall be liable to the Buyer only to same extent as the Transferring Restricted Stockholder with respect to representations and warranties regarding the Company or its business, on a several basis for each such Investor’s pro rata portion, provided that each such Investor’s liability with respect to such representations and warranties shall not exceed the value of the proceeds received by such Investor upon the consummation of the Transaction Offer and, provided further, that no Investor shall be required to make any other representations or warranties or to provide any indemnities in connection therewith other than with respect to title to the shares being conveyed.
LIABILITY OF INVESTORS. Any liability or obligation of any kind whatsoever under this Agreement shall be several and not joint as between any MJG Affiliate(s) and their Permitted Transferees, on the one hand, and any SZI Affiliate(s) and their Permitted Transferees, on the other hand. Notwithstanding anything to the contrary in this Agreement, in no event shall any MJG Affiliate be responsible in any manner for any liability or obligation of, or the breach of any provision of this Agreement by, any person or group who is not an MJG Affiliate. Notwithstanding anything to the contrary in this Agreement, in no event shall any SZI Affiliate be responsible in any manner for any liability or obligation of, or the breach of any provision of this Agreement by, any person or group who is not an SZI Affiliate.
