Common use of Cold Comfort Letter Clause in Contracts

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative and in form and substance satisfactory in all respects to you and to Loeb from Xxxxxxxxx dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative Underwriters and in form and substance reasonably satisfactory in all respects to you and to Loeb Xxxxx Lord from Xxxxxxxxx GSI dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the each Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative Underwriter and in form and substance satisfactory in all respects to you and to Loeb from Xxxxxxxxx Xxxxxxxxxxx, dated, respectively, as of the date of this Agreement and as of the Closing Date and the each Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative and in form and substance satisfactory in all respects to you and to Loeb Xxxxxxx Xxxxx from Xxxxxxxxx Cherry dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative and in form and substance satisfactory in all respects to you and to Loeb from Xxxxxxxxx BDO dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative Representatives and in form and substance reasonably satisfactory in all respects to you and to Loeb Xxxxxxx Krooks from Xxxxxxxxx X.X. Xxxx dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letterletter with respect to the financial statements and certain financial information contained in the Registration Statement, the Pricing Prospectus and the Prospectus, addressed to the Representative Representatives and in form and substance satisfactory in all respects to you and to Loeb DLA Piper from Xxxxxxxxx Xxxxx Xxxxxxxx dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative Underwriter and in form and substance satisfactory in all respects to you and to Loeb from Xxxxxxxxx PMB dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative Underwriter and in form and substance satisfactory in all respects to you and to Loeb SRFF from Xxxxxxxxx AXXX dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative Underwriter and in form and substance reasonably satisfactory in all respects to you and to Loeb Xxxxx Lord from Xxxxxxxxx GSI dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative Representatives and in form and substance satisfactory in all respects to you and to Loeb DLA Piper LLP (US) from Xxxxxxxxx Xxxxxxxx & Company, P.A., dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

At the time this Agreement is executed, and at each of the Closing Date and the each Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative and in form and substance satisfactory in all respects to you and to Loeb from Xxxxxxxxx Xxxxxxxxxxx, dated, respectively, as of the date of this Agreement and as of the Closing Date and the each Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative Underwriters and in form and substance satisfactory in all respects to you the Representative and to Loeb & Loeb LLP from Xxxxxxxxx DTT dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the each Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative and in form and substance satisfactory in all respects to you and to Loeb from Xxxxxxxxx Bxxxxxxxxxx, dated, respectively, as of the date of this Agreement and as of the Closing Date and the each Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative Underwriter and in form and substance reasonably satisfactory in all respects to you and to Loeb Golenbock from Xxxxxxxxx GSI dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. (i) . At the time this Agreement is executed, and at each of the Closing Date and the any Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative and in form and substance satisfactory in all respects (including the non-material nature of the changes or decreases, if any, referred to in clause (iii) below) to you and to Loeb Skadden from Xxxxxxxxx dated, respectively, as of the date of this Agreement and as of the Closing Date and the any Option Closing Date, if anycovering the matters set forth on Appendix B hereto.

At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative Representatives and in form and substance satisfactory in all respects to you and to Loeb Pillsbury from Xxxxxxxxx EFP Rxxxxxxxx dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative and in form and substance satisfactory in all respects to you and to Loeb Gxxxxxx from Xxxxxxxxx J.X. Xxxx dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative and in form and substance satisfactory in all respects to you and to Loeb SRFF from Xxxxxxxxx Xxxxxx Xxxxx dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.

Cold Comfort Letter. At the time this Agreement is executed, and at each of the Closing Date and the Option Closing Date, if any, you shall have received a cold comfort letter, addressed to the Representative and in form and substance satisfactory in all respects to you and to Loeb Xxxxxx Xxxxx from Xxxxxxxxx Ernst & Young LLP dated, respectively, as of the date of this Agreement and as of the Closing Date and the Option Closing Date, if any.
