Collateral Agent to Sign Amendments. The Collateral Agent shall sign any amendment, supplement or waiver authorized pursuant to this Article if the amendment, supplement or waiver does not adversely affect the rights of the Collateral Agent. If it does, the Collateral Agent may but need not sign it. In signing or refusing to sign such amendment or supplemental Agreement, the Collateral Agent shall be entitled to receive indemnification in taking such action and shall be fully protected in relying upon an Officer’s Note or opinion of counsel as conclusive evidence that such amendment or supplemental Agreement is authorized or permitted by this Agreement, that it is not inconsistent herewith, and that it will be valid and binding upon the Company in accordance with its terms.
