Common use of Collateral Trustee not Required to Serve, File, Register or Record Clause in Contracts

Collateral Trustee not Required to Serve, File, Register or Record. The Collateral Trustee is not required to serve, file, register or record any instrument releasing or subordinating its Liens on any Collateral; provided, however, that if the Issuer or any Guarantor shall make a written demand for a termination statement under Section 9-513(c) of the UCC, the Collateral Trustee shall comply with the written request of the Issuer or such Guarantor to comply with the requirements of such UCC provision; provided, further, that the Collateral Trustee must have received from the Secured Debt Representatives a written confirmation that the requirements of Section 9-513(c) of the UCC have been satisfied. The Collateral Trustee shall conclusively rely on a certificate from the Secured Debt Representative as to such satisfaction.
