Common use of Collection Guidelines Clause in Contracts

Collection Guidelines. (i) The Servicer will comply in all material respects with the Collection Guidelines or as otherwise required by Applicable Law in regard to each Loan and Contract. (ii) The Servicer will not agree to or otherwise permit to occur any material change in the Collection Guidelines, which change would impair the collectability of any Loan or Contract or otherwise adversely affect the interests or remedies of the Deal Agent, the Collateral Agent, the Lenders or the other Secured Parties under this Agreement or any other Transaction Document, without the prior written consent of the Deal Agent (acting at the direction, or with the consent, of the Required Lenders) or unless required by Applicable Law.

(iii) The initial Servicer will not agree to or otherwise permit to occur any material change in the Collection Guidelines, which change would materially impair the 66 collectability of any Loan or Contract or otherwise materially adversely affect the interests or remedies of the Deal Agent, the Collateral Agent, the Lenders Agent or the other Secured Parties under this Agreement or any other Transaction Document, without notice to the Backup Servicer and the prior written consent of the Deal Agent (acting at the direction, or with the consent, of the Required Lenders) or unless Lenders other than if required by Applicable Law.
