Common use of Commencement Date; Term Clause in Contracts

Commencement Date; Term. This Agreement shall commence as last signed by the Parties and terminate on December 31, 2027, or upon Thornton providing Service Provider with seven (7) Calendar Days advance written notice, whichever occurs first for all new equipment, replacement parts, and initial software purchases. Upon this termination date, all service plans and software associated with the purchase of any unit shall continue to renew for one (1) year perpetually or upon Thornton providing the Service Provider with seven (7) Calendar Days advance notice of termination. Notwithstanding the foregoing, if Notice to Proceed for Services has been issued by Thornton to Service Provider and the Services will not be completed as of the Agreement termination date, and if Thornton desires Service Provider to complete the Services, the terms and conditions of this Agreement shall survive the termination date of the Agreement and continue until the Services are completed to Xxxxxxxx’x satisfaction.

Notwithstanding the foregoing, if Notice to Proceed for Services has been issued by Thornton to Service Provider and the Services will not be completed as of the Agreement termination date, and if Thornton desires Service Provider to complete the Services, the terms and conditions of this Agreement shall survive the termination date of the Agreement and continue until the Services are completed to Xxxxxxxx’x satisfaction.

Notwithstanding the foregoing, if Notice to Proceed for Services has been issued by Thornton to Service Provider and the Services will not be completed as of the Agreement termination date, and if Thornton desires Service Provider to complete the Services, the terms and conditions of this Agreement shall survive the termination date of the Agreement and continue until the Services is/are completed to Xxxxxxxx’x satisfaction.
