Commercially Reasonable Efforts to Consummate. Subject to the terms and conditions of this Agreement, each Party shall use its commercially reasonable efforts to cause the Closing to occur, including defending against any Proceedings, judicial or administrative, challenging this Agreement or the consummation of the transactions contemplated hereby, and seeking to have any preliminary injunction, temporary restraining order, stay or other legal restraint or prohibition entered or imposed by any court or other Governmental Authority that is not yet final and nonappealable vacated or reversed. Without limiting the foregoing, each Party shall use its commercially reasonable efforts (subject to the provision in the immediately preceding sentence) to cause the Closing to occur within thirty (30) days after execution of this Agreement.

Commercially Reasonable Efforts to Consummate. (a) Except as provided by the Bankruptcy Code, the Federal Rules of Bankruptcy Procedures, as amended or any order entered by the Bankruptcy Court in the Debtorschapter 11 cases, the Debtors and the Purchaser shall use their respective Commercially Reasonable Efforts to cause the Closing to occur, including defending against any legal proceeding challenging this Agreement or the transactions set forth herein, or seeking to have any preliminary injunction, temporary restraining order, stay or other legal restraint or prohibition entered or imposed that is not yet final and non-appealable vacated or reversed.
