Commissioning Period. (a) During the Commissioning Period, Sellers may (in their discretion) supply Gas and Buyer may (in its discretion) take delivery of Gas, but Sellers shall have no obligation to supply Gas (or liability for failure to supply Gas) and Buyer shall have no obligation to take Gas (or liability for failure to take Gas) during such period. Buyer shall pay Sellers for the Allocated Quantity of Gas supplied during the Commissioning Period at the Gas Price and any Gas deliveries during the Commissioning Period shall be subject to the other provisions of this Agreement excluding Clauses 10 and 11, which shall not apply. (b) The determination of, Quarterly Offtake Quantity, Quarterly Deficiency Quantity, Quarterly Supply Quantity, Adjusted Quarterly Supply Quantity and Shortfall Quantity shall exclude any relevant period falling within the Commissioning Period, notwithstanding any provision hereof to the contrary.

Commissioning Period. 2.4.1 The “Commissioning Period” shall be a period commencing on the Flow Date and ending on the earlier of (i) the date upon which the Sellers notify the Buyer that they have completed the commissioning of the Sellers’ Facilities, and (ii) the date of expiry of ninety (90) days following the Flow Date. 2.4.2 The Sellers will provide to the Buyer not less than fourteen (14) days’ prior notice of the commencement of the Commissioning Period. During such period (the “Commissioning Period”) the Sellers and the Buyer (in liaison with the Transporter) shall in cooperation with each other carry out commissioning activities of their respective facilities. 2.4.2 During the Commissioning Period, the Sellers shall use reasonable endeavors to make available for delivery Specification Gas nominated by Buyer in such quantities and at such rates as may reasonably be requested by Buyer to carry out the commissioning and testing of the Buyer’s Facilities and the relevant parts of the Downstream System. 2.4.3 The Parties shall use reasonable endeavors: (a) to co-ordinate their activities in relation to the commissioning of the facilities to the intended effect that, to the extent practicable, the Sellers’ Facilities, the relevant parts of the Downstream System and the Buyer’s Facilities will be commissioned during the Commissioning Period; and (b) to facilitate generally the commissioning of each other’s facilities and equipment.
Commissioning Period. (a) For any GTA, the “Commissioning Period”, if any, shall be as specified in the relevant GTA. If no such Commissioning Period is specified in a GTA, this Clause 4.4 shall not apply to such GTA. Commissioning Period. The proper functioning of the PB40ES PowerBuoy and mooring system on one hand, and the Subsea cable and Underwater Substation ‘Pod’ connected to the PB40ES PowerBuoy on the other, shall be checked during the applicable Commissioning Period according to the corresponding Final Commissioning Protocol. For finalizing the Commissioning Period of the PB40ES PowerBuoy and mooring system it is required that the PB40ES PowerBuoy and mooring system will be in operation for one (1) month producing energy measured at the electrical output from the PowerBuoy. Once the Commissioning Period of the PB40ES PowerBuoy and mooring system is finalized the CONTRACTOR shall issue a Certificate of Completion of Commissioning of the PB40ES PowerBuoy and mooring system and shall notify the CLIENT indicating that the PB40ES PowerBuoy and mooring system is ready for Provisional Acceptance. For finalizing the Commissioning Period of the Subsea cable and Underwater Substation ‘Pod’ it is required that the Subsea cable and Underwater Substation ‘Pod’ connected to the PB40ES PowerBuoy is in operation for one (1) month transmitting energy to shore measured at the onshore grid connection point supplied by the CLIENT. Once the Commissioning Period of the Subsea cable and Underwater Substation ‘Pod’ is finalized the CONTRACTOR shall issue a Certificate of Completion of Commissioning of the Subsea cable and Underwater Substation ‘Pod’ and shall notify the CLIENT indicating that the Subsea cable and Underwater Substation ‘Pod’ is ready for Provisional Acceptance.”
