Commissions and Brokerage Fees. Each of the parties hereto is responsible for, and shall indemnify the other against, any claim by any third party to a fee, commission, bonus or other remuneration arising by reason of any services alleged to have been rendered to or at the instance of said party to this Agreement with respect to this Agreement or to any of the transactions contemplated hereby.
Commissions and Brokerage Fees. Borrower hereby agrees to indemnify ------------------------------ Lender from any responsibility and/or liability for the payment of any commission, charge or brokerage fees to anyone which may be payable by Borrower or any Affiliated Parties in connection with the purchase or refinance of the Loan (other than any sale of participations or assignments contemplated in Section 12.17 hereof), it being understood that any such commission, charge, or brokerage fees will be paid directly by Borrower or said Affiliated Parties to the party or parties entitled thereto.

Borrower agrees to indemnify Lender from any responsibility and/or liability for the payment of any commission, charge or brokerage fees to anyone that may be payable in connection with the making of the loan herein contemplated, it being understood that any such commission, charge or brokerage fees will be paid directly by Borrower to the party or parties entitled thereto out of the Initial Advance as forth on the Budget. Lender warrants that Lender has not dealt with Borrower through the agency of any person or entity in a manner that would provide such person or entity with a claim for a commission or fee in connection with this Loan Agreement, other than as provided in the Budget.

No brokers have been engaged in connection with this Agreement, except J.P. McCleary. Buyer xxxxxx xx xxy J.P. McCleary or his dxxxxxxxxx xxxpany such commission as shall be agreed between Buyer and J.P. McCleary, which cxxxxxxxxx xxxll be in addition to the purchase price. Seller shall have no responsibility to J.P. McCleary or to anx xxxxx xxxxxr. The parties shall each pay one-half of the fee charged by Kim Marine Documentatixx, Inc. not to exceed $2,000.00 each; provided, each of the parties shall pay and be responsible for their own attorneys' and accountant's fees incurred in connection with this transaction.
