Commissions and Finder's Fees. Buyer and the Seller each hereby represent and warrant that neither of them have retained or used the services of any individual, firm or corporation in such manner as to entitle such individual, firm or corporation to any compensation for broker’s or finder’s fees with respect to the transactions contemplated hereby for which the other may be liable.

Commissions and Finder's Fees. No one is entitled to receive from the Company any finder's fee, brokerage or other commission in connection with the purchase of the Shares.

Insofar as any such claims are made which are alleged to be based on an agreement or arrangements made by, or on behalf of, a party, such party agrees to indemnify and hold the other party harmless from and against all liability, loss, cost, charge or expense, including reasonable counsel fees, arising therefrom.
Commissions and Finder's Fees. Except as set forth on Schedule 5.1.30, neither the Shareholder nor either Seller nor any Person acting on the behalf of the Shareholder or either Seller has agreed to pay a commission, finder's fee, or similar payment in connection with this Agreement or any matter related hereto to any Person.
