Commissions or Finders Fee. 13.1 The Buyer's Representation and Agreement to Indemnify. The parties hereto represent and warrant that neither they nor any person or entity acting on their behalf has agreed to pay a commission, finder's fee or similar payment in connection with this Agreement or any matter related hereto to any person or entity, other than to Media Services Corp. The parties hereto further agree to indemnify, defend and hold each other harmless from and against any and all claims, losses, liabilities and expenses (including reasonable attorney's fees) arising out of a claim by any person or entity (including Media Services Corp.) based on any such arrangement or agreement made or alleged to have been made by the Buyer. Each party hereto shall enter into a separate arrangement with Media Services Corp. relating to any finder's fee or similar payment in connection with the transactions contemplated hereby.
