Committee Decisions. The Committee’s decision regarding an applicant’s eligibility for the sick leave pool shall be final. The decisions are not subject to the grievance procedure. If the Committee is deadlocked, the “tie” will be resolved by granting the participating employee access to sick leave pool benefits. The Committee may seek a second opinion from another physician if it feels the information provided by the employee’s physician is inadequate or inconclusive regarding the employee’s eligibility for access to pool benefits.
Committee Decisions. ‌ Decisions by the PJLMC shall be by unanimous agreement. The Employer shall have one (1) vote and the Union shall have one (1) vote.
Committee Decisions. Each Party’s representatives on the JSC and each Subcommittee will, collectively, have one vote (the “Party Vote”) on all matters brought before such committee for a decision by consensus. Committee Decisions. To the extent that any provision of this Agreement that provides for a decision to be made by a Committee survives termination of this Agreement pursuant to this Article 15, except as otherwise set forth in Section 15.5.4(f), such matter shall be decided by the Parties jointly, with respect to the JDC or any subcommittees thereunder, and any dispute between the Parties with respect to any such matter shall be resolved as if it were a JDC Committee Dispute under Section 16.8 below and decided by Otsuka with respect to the JCC and any subcommittees thereunder.
Committee Decisions. Claims found to be valid by the Committee by the end of the first month of a sign up, will be adjusted by the beginning of the next sign up and no penalty shall accrue if adjusted within that time frame. Claims found to be valid after the first month of any sign up where there is no time for an adjustment, will be adjusted by the sign up following the next sign up and no penalty shall accrue if adjusted within that time frame. If an adjustment is found to be appropriate and is not made within the times specified above, the affected operators shall be paid one hour for each day until the adjustment is made.
Committee Decisions. 2.7.1 In conducting its activities, the JSC and each subcommittee shall operate and make decisions consistent with the terms of this Agreement. Decisions of the JSC and each subcommittee shall be made by consensus. Deadlocks arising in any subcommittee will be referred to the JSC for resolution. Deadlocks in the JSC will be referred to the Chief Executive Officer of NextCure and the Chief Scientific Officer and President of Lilly Research Labs of Lilly for final resolution, or such executives’ respective designees having sufficient experience and authority to resolve such matter, and if no agreement is reached by such executives (or their respective designees, as applicable) within ten (10) business days of such deadlock being referred, then such deadlock shall be resolved [***] retains the right to determine which Oncology Targets to advance to Target Validation Programs as Proposed Collaboration Targets and which Proposed Collaboration Targets to advance to a Compound Discovery Program as Collaboration Targets. 2.7.2 The JSC shall not have authority to amend, modify or waive compliance with the terms and conditions of this Agreement, or to interpret, alter, increase, expand, or waive a Party’s rights or obligations under this Agreement. Notwithstanding anything contained in this Agreement to the contrary, it is expressly understood and agreed that in no event shall the JSC or either Party have any authority or right to (a) increase a budget set forth in a Project Plan, unless such Party is the casting vote and such Party is solely responsible for the increase in such budget, (b) increase the total required resources that a Party is required to commit to the Collaboration, (c) require the other Party to use other than Commercially Reasonable Efforts to perform obligations under the Project Plans, (d) require the other Party to perform any activities for which it is not responsible under this Agreement, (e) resolve any dispute as to what level of effort constitutes Commercially Reasonable Efforts or (f) require the other Party to take any action that would, or fail to take any action where the failure to take such action would, violate any Applicable Law or any agreement with any Third Party or infringe the intellectual property rights of any Third Party, in each case ((a) through (f)), without the prior written consent of the Party. Committee Decisions. All decisions of the Compensation Committee (as established pursuant to the Plan) with respect to any questions concerning the application, administration or interpretation of the Plan will be conclusive and binding on the Company and Optionee.
