Common use of Communications with Accountants Clause in Contracts

Communications with Accountants. Each of the Parent and the Borrower authorizes the Administrative Agent and, if accompanied by the Administrative Agent, the Lenders to communicate directly with such Person’s independent certified public accountants and authorizes such accountants to disclose to the Administrative Agent and the Lenders any and all financial statements and other supporting financial documents and schedules including copies of any management letter with respect to the business, financial condition and other affairs of the Parent, the Borrower or any of the Subsidiaries. At the request of the Administrative Agent, the Parent and the Borrower shall deliver a letter addressed to such accountants instructing them to comply with the provisions of this §9.9.3.
