Communications with Customers and Suppliers. Seller and Buyer will mutually agree upon all communications with suppliers and customers of the Business relating to this Agreement and the transactions contemplated hereunder prior to the Closing Date.
Communications with Customers and Suppliers. (a) Unless instructed otherwise by the Buyer in writing, the Company will continue to accept customer orders in the Ordinary Course of Business of the Company for all products and services offered by the Company, whether expected to be shipped before or after the Closing Date.

Prior to the Closing, the Purchaser shall not, and shall cause its Affiliates and representatives not to, contact, or engage in any discussions or otherwise communicate with, any of the Exteriors Business’ customers, suppliers and others with whom it has material commercial dealings without obtaining the prior consent of Seller (which will not be unreasonably withheld but, if given, may be conditioned on Seller having the right to designate an officer of Seller reasonably acceptable to Purchaser, to participate in any meetings or discussions with any such customers, suppliers or others).
Communications with Customers and Suppliers. Selling Parties and Purchaser will cooperate with each other in communication with suppliers and customers concerning the transfer of the Business and the Acquired Assets to Purchaser on the Closing Date.

Prior to the Closing, Buyer shall not, and shall cause its Affiliates and Representatives not to, contact, or engage in any discussions or otherwise communicate with, any of Sellers’ landlords, clients, suppliers and other Persons with which Sellers have material commercial dealings without obtaining the prior consent of Sellers, which consent shall not be unreasonably withheld, conditioned or delayed; provided that nothing herein shall in any way restrict or limit Buyer or its Affiliates from contacting, or engaging in discussions or otherwise communicating with, any Person in the ordinary course of the business of Buyer and its Affiliates as conducted as of the date hereof. In no event shall Buyer request any client, customer or any other Person to return any Products sold by Seller.
