Community Event 2. A second community event will provide an opportunity for community stakeholders and interested individuals to review the analysis and preliminary recommendations resulting from the HOK Team’s work. It is anticipated this event will be a small group workshop, conducted in an open house format. Key stakeholders will targeted by the City through invitations via email or letter. Up to 75 invitations will be distributed by the City, however, the event will be open to the public and will be posted on the City’s website. It is anticipated the workshop will be organized into “stations,” such as transportation, business revitalization, aesthetics, etc. Attendees would spend time at each of the stations learning about proposed elements and offering feedback. The City will take the lead on notification, venue selection and set-up. HOK Team will provide for any translation needs related to notification documents and during the community event. A comment form that allows for comments to be provided by participants will be created in both English and Spanish and distributed to all attendees. The City will create this comment form. Following the event, a brief report will be prepared by the HOK Team that summarizes the event, number of attendees and feedback received.

  • Mergers, Reorganizations and Equity Transfers Each of the Company and any Sponsor Affiliates acknowledges that any mergers, reorganizations or consolidations of the Company and such Sponsor Affiliates may cause the Project to become ineligible for negotiated fees in lieu of taxes under the FILOT Act absent compliance by the Company and such Sponsor Affiliates with the Transfer Provisions; provided that, to the extent provided by Section 12-44- 120 of the FILOT Act or any successor provision, any financing arrangements entered into by the Company or any Sponsor Affiliates with respect to the Project and any security interests granted by the Company or any Sponsor Affiliates in connection therewith shall not be construed as a transfer for purposes of the Transfer Provisions. Notwithstanding anything in this Fee Agreement to the contrary, it is not intended in this Fee Agreement that the County shall impose transfer restrictions with respect to the Company, any Sponsor Affiliates or the Project as are any more restrictive than the Transfer Provisions.

  • Change of Residence The Employer agrees that when any full-time employee is required to move his/her residence for the "good of the state" after he/she has been permanently assigned, the actual moving expenses shall be borne by the Employer, in accordance with the Department of Administrative Services Manual of Procedure. Employees involved in voluntary moves or moves necessitated by promotion are liable for their own moving expenses.

  • CERTAIN TERMINATIONS PROHIBITED; CERTAIN CANCELLATIONS NON-APPEALABLE The following circumstances will not be considered a valid basis for termination of this agreement, and will be considered non- appealable or irrelevant to an appeal of a cancellation fee assessment:

  • Change in Ownership Any change in ownership of twenty-five percent (25%) or more of the common stock of Borrower.
