Company Conversion Rights. In the event AT&T PCS terminates its obligations under Section 8.6 pursuant to Section 8.8(c) with respect to any Overlap Territory, the Company shall have the following rights which may be exercised by the Company in its sole discretion during the sixty (60) day period commencing on the date of such termination:

Company Conversion Rights. From the date immediately following the Restricted Period until the fifth (5th) calendar day after such date, the Company shall have the right, but not the obligation, in its sole and absolute discretion to cause the Buyer to exchange all of the Convertible Notes for preferred stock of the Company, provided that such preferred stock has the same economic terms and conversion rights as the Convertible Notes; provided, further, that the Company may not be entitled to exercise its right under this Section 4(j) on any day on which the Closing Bid Price (as defined in the applicable Warrant) of the Ordinary Shares as of one (1) Trading Day prior to such date is less than $0.10 and in the case of a reverse stock split the minimum price will be adjusted to 25% of the closing bid price on the 5th day post such split.

Upon Conversion of this Debenture, the Company shall take all such actions as are necessary in order to insure that the Common Stock issuable with respect to such conversion shall be validly issued, fully paid and nonassessable. The Company shall not close its books against the transfer of Common Stock issued or issuable upon conversion of this Debenture in any manner that interferes with the timely conversion of this Debenture. The Company shall assist and cooperate with any Holder of this Debenture required to make any governmental filings or obtain any governmental approval prior to or in connection with the conversion of this Debenture (including, without limitation, making any filings required to be made by the Company). The conversion rights of any Debenture subject to redemption hereunder shall terminate on the Redemption Date for such Debenture unless the Company has failed to pay to Holder thereof the Redemption Price of such Debenture or portion thereof.

In all cases, the conversion of any LTIP Units into Limited Partnership Units shall be subject to the conditions and procedures set forth in this Section 4.5.
