Company Corporate Approval. The Company EGM shall have taken place, the Company corporate approval shall have been duly obtained, and (i) the Merger of Shares; and (ii) the waiver of the obligation of Serasa to list its shares on Novo Xxxxxxx under Article 46 of Novo Xxxxxxx Regulation shall have been approved by the shareholders of the Company, as set forth in Section 2.5.1 (“Company Corporate Approval”);

  • WHEREAS the Company desires the Warrant Agent to act on behalf of the Company, and the Warrant Agent is willing to so act, in connection with the issuance, registration, transfer, exchange, redemption and exercise of the Warrants; and
