Company Documents; Proceedings; etc. (a) On the Effective Date, the Administrative Agent shall have received a certificate from each Credit Party, dated the Effective Date, signed by the chairman of the board, the chief executive officer, the chief financial officer, the president or any vice president of such Credit Party, and attested to by the secretary or any assistant secretary of such Credit Party, in the form of Exhibit F with appropriate insertions, together with copies of the certificate or articles of incorporation and by-laws (or other equivalent organizational documents), as applicable, of such Credit Party and the resolutions of such Credit Party referred to in such certificate, and each of the foregoing shall be in form and substance reasonably acceptable to the Administrative Agent. (b) On the Effective Date, the Administrative Agent shall have received all information and copies of all documents and papers, including board (or equivalent) resolutions, governmental approvals, good standing certificates and bring-down telegrams or facsimiles, if any, which the Administrative Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper Business or Governmental Authorities.

(b) On the Effective Date, the Administrative Agent shall have received all information and copies of all documents and papers, including board (or equivalent) resolutions, governmental approvals, good standing certificates and bring-down telegrams or facsimilesfrom the jurisdiction of organization as of a recent date, if any, for each of the Credit Parties which the Administrative Agent reasonably may have requested in connection therewithrequested, such documents and papers where appropriate to be certified by proper Business or Governmental Authorities.

Company Documents; Proceedings; etc. (a) On the Effective Initial Borrowing Date, the Administrative Agent shall have received a certificate or certificates from each the Credit PartyParties, dated the Effective Initial Borrowing Date, signed by the chairman of the board, the chief executive officer, the chief financial officer, the president Secretary or any vice president Assistant Secretary of such each Credit Party, and attested to by the secretary or any assistant secretary an Authorized Officer of such each Credit Party, in the form of Exhibit F F-2 with appropriate insertions, together with copies of the certificate or articles of incorporation and by-laws (or other equivalent organizational documents), as applicable, of such Credit Party and the resolutions of such Credit Party referred to in such certificate, and each of the foregoing shall be in form and substance reasonably acceptable to the Administrative Agent. (b) On the Effective Initial Borrowing Date, the Bridge Loan Documents shall be reasonably satisfactory in form and substance to the Administrative Agent, and the Administrative Agent shall have received all information and copies of all documents and papers, including board (or equivalent) resolutions, governmental approvals, good standing certificates and bring-down telegrams or facsimiles, if any, for the jurisdiction of organization of each Credit Party, which the Administrative Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper Business Company personnel or Governmental Authorities.

(b) On the Effective Date, the Administrative Agent shall have received all information and copies of all documents and papers, including board (or equivalent) resolutions, governmental approvals, a good standing certificates certificate (to the extent such concept exists and bring-down telegrams delivery is customary in the applicable jurisdiction) from the applicable Governmental Authority of each Credit Party’s jurisdiction of incorporation, organization or facsimiles, if any, which the Administrative Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper Business or Governmental Authoritiesformation.

Company Documents; Proceedings; etc. (a) On the Effective Closing Date, the Administrative Agent and the Required Lenders shall have received a certificate from each Credit Party, dated the Effective Closing Date, signed by the chairman of the board, the chief executive officer, the chief financial officer, the president or any vice president an Authorized Officer of such Credit Party, and attested to by the secretary or any assistant secretary of such Credit Party, in the form of Exhibit F D with appropriate insertions, together with certified copies of the certificate or articles of incorporation and by-laws (or other equivalent organizational documents), as applicable, of such Credit Party and the resolutions of such Credit Party referred to in such certificate, and each of the foregoing shall be in form and substance reasonably acceptable to the Administrative AgentRequired Lenders. (b) On or prior to the Effective Closing Date, the Administrative Agent and the Required Lenders shall have received all information and copies records of all documents and papers, including board (or equivalent) resolutions, governmental approvalsCompany proceedings, good standing certificates and bring-bring down telegrams or facsimilesletters, if any, which the Administrative Agent reasonably may have requested in connection therewithrequested, such documents and papers where appropriate to be certified by proper Business Company or Governmental Authorities.

(b) On the Effective Initial Borrowing Date, the Credit Documents shall be reasonably satisfactory in form and substance to the Administrative Agent, and the Administrative Agent shall have received all information and copies of all documents and papers, including board (or equivalent) resolutions, governmental approvals, good standing certificates and bring-down telegrams or facsimiles, if any, for the jurisdiction of organization of each Credit Party, which the Administrative Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper Business Company personnel or Governmental Authorities.

(b) On the Effective Date, all Company and legal proceedings and all instruments and agreements in connection with the transactions contemplated by this Agreement and the other CreditLoan Documents shall be reasonably satisfactory in form and substance to the Agents, and the Administrative Agent shall have received all information and copies of all documents and papers, including board (or equivalent) resolutionsrecords of Company proceedings, governmental approvals, approvals and good standing certificates and bring-down telegrams or facsimilescertificates, if any, which the Administrative Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper Business Company or Governmental Authoritiesgovernmental authorities.

(b) On the Effective Closing Date, the Administrative Agent shall have received all information and copies of all documents and papers, including board (or equivalent) resolutionsrecords of Company proceedings, governmental approvals, good standing certificates issued with respect to the jurisdiction of organization of each Credit Party and bring-down telegrams or facsimiles, if any, which the Administrative Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper Business Company or Governmental Authorities.

Company Documents; Proceedings; etc. (a) On the Effective Conversion Date, the Administrative Agent shall have received a certificate from each Credit Party, dated the Effective Conversion Date, signed by the chairman of the board, the chief executive officer, the chief financial officer, the president or any vice president of such Credit Party, and attested to by the secretary or any assistant secretary of such Credit Party, in the form of Exhibit F with appropriate insertions, together with copies of the certificate or articles of incorporation and by-laws (or other equivalent organizational documents), as applicable, of such Credit Party and the resolutions of such Credit Party referred to in such certificate, and each of the foregoing shall be in form and substance reasonably acceptable to the Administrative Agent. (ba) On the Effective Conversion Date, all Company and legal proceedings and all instruments and agreements in connection with the transactions contemplated by this Agreement and the other Credit Documents shall be reasonably satisfactory in form and substance to the Agents, and the Administrative Agent shall have received all information and copies of all documents and papers, including board (or equivalent) resolutionsrecords of Company proceedings, governmental approvals, good standing certificates and bring-down telegrams or facsimiles, if any, which the Administrative Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper Business Company or Governmental Authoritiesgovernmental authorities.

(b) On the Restatement Effective Date, all Company and legal proceedings and all instruments and agreements in connection with the transactions contemplated by this Agreement and the other Documents shall be reasonably satisfactory in form and substance to the Agents, and the Administrative Agent shall have received all information and copies of all documents and papers, including board (or equivalent) resolutionsrecords of Company proceedings, governmental approvals, good standing certificates and bring-down telegrams or facsimiles, if any, which the Administrative Agent reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper Business Company or Governmental Authoritiesgovernmental authorities.
