Company Modifications Sample Clauses

Company Modifications. For purposes of clarification: the BNYM System and any modifications to the BNYM System or a Proprietary Item, whether or not ordered or paid for by the Company as a customization, are not intended to be and are not a “works made for hire” under Section 101 of the Copyright Act or under any other applicable law, remain proprietary to and the exclusive property of BNYM and accordingly Company hereby transfers, conveys and assigns any ownership interests or intellectual property rights it may have in and to Proprietary Items to BNYM. To the extent requested by BNYM, Company shall cooperate with BNYM, at BNYM’s expense, to cause to vest in BNYM any ownership interests or Intellectual Property Rights in any of the forgoing that do not automatically vest in BNYM.
Company Modifications. The Company will retain all right, title, and interest in and to any Modifications, including any IP Rights and Intellectual Property therein, made by the Company and/or any of its Partners to any Background IP and/or Foreground IP (“Company Modifications”).
Company Modifications. Company (in consultation with Manager) may amend, modify or revise the Initial Program and Budget or any subsequent Program and Budget to reflect such changes that in Company’s reasonable judgment may be necessary for the Project.
